Job Description


JOB PURPOSE

We are seeking a Corporate M&A lawyer to join our team. The successful candidate will be responsible for overseeing, negotiating and drafting agreements for joint ventures, acquisitions and other business transactions. The role involves providing legal advice on potential risks and issues, coordinating with advisors and stakeholders, and ensuring compliance with all applicable laws and regulations.

KEY ACCOUNTABILITIES

Legal Consultation

  • Provide accurate, precise and timely legal advice to stakeholders on a wide range of legal topics, including corporate matters, contracts, employment regulations, disputes, and risk prevention, and draft legal memos with recommendations and actions to be undertaken, ensuring compliance with applicable laws, regulations, and internal policies.
  • Manage disputes, pre-litigation, and litigations, manage external counsels and negotiate settlements.
  • Ensure that all business contracts and agreements are in compliance with applicable laws, protecting the company's interests, and minimizing legal risks.

Draft Legal Documentation

  • Draft, review and negotiate various legal documents, such as contracts, corporate documents, terms & conditions, and other contractual arrangements.
  • Draft legal opinions on legislation related to the Company to ensure that relevant and up-to-date information on legislation is always available to all relevant stakeholders.
  • Provide efficient support on the M&A and strategic projects - support the legal lifecycle of domestic and cross-border transactions. Support the drafting, reviewing, and negotiating NDAs, Letters of Intent/MOU, Share/Asset Purchase Agreements, and ancillary agreements.
  • Undertake any other duties, functions, or services consistent with the role of Legal Counsel, as determined by the Associate General Counsel.

Legal Research

  • Perform legal research on legislation relevant to the Company in order to stay up to date on all relevant legislation.

QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS

Minimum Qualification

  • Bacheloru2019s degree in law

Minimum Experience & Knowledge & Skills

  • 7 years of relevant experienceeither as in-house counsel or in law firm with exposure to different aspects of law.
  • Excellent writing and communication skills
  • Able to work independently
  • Experience in the Oil and Gas or retail industry is preferred.

Professional Certifications

  • Qualified Lawyer.
