Role Description the Chief Investment Officer (CIO) is the senior executive driving the Company's investment strategy and leading the real estate portfolio through the entire asset life cycle, from asset sourcing and due diligence to deal structuring, tokenization and underwriting, execution, performance management, exit, and investment risk management.

The CIO will own the long-term real estate investment strategy, design risk management and mitigation plans for the real estate portfolio, lead due diligence and valuations, design the tokenization strategy for sourced assets, manage the tokenization process, oversee the performance of the real estate portfolio, and manage asset exit strategies.

The CIO will partner closely with the CEO, leadership team, Board of Directors, and regulators to ensure the Company's investment, tokenization, performance, and divestment infrastructure and strategies are financially sound, scalable, compliant, and aligned with business objectives.

Key Responsibilities:

1. Real estate investment strategy and investment risk management:

· Own and continuously refine the Company's long-term real estate investment strategy, including target asset classes, geographies, hold periods, and return objectives, in alignment with the Company's business plan and Board-approved risk appetite.

· Define investment mandates, allocation parameters, and portfolio construction principles for tokenized real estate offerings.

· Design and implement a comprehensive investment risk management framework covering market, credit, liquidity, concentration, and asset-specific risks across the portfolio.

· Develop risk mitigation plans and portfolio-level stress testing/scenario analysis, presenting findings and recommendations to the CEO and Board.

· Monitor macroeconomic, real estate market, and regulatory trends across the GCC (and other target markets) to inform strategy adjustments.

· Establish investment committee governance, including investment policy statements, approval thresholds, and escalation protocols.

2. Deal sourcing, due diligence, financial modeling, and valuation:

· Lead origination and sourcing of real estate investment opportunities through broker networks, developers, family offices, institutional partners, and proprietary channels.

· Design and lead the end-to-end due diligence process, including legal, financial, technical, environmental, and title/ownership review, coordinating with external advisors, legal counsel, and valuers as needed.

· Build and maintain robust financial models for prospective acquisitions, including cash flow projections, IRR/equity multiple analysis, sensitivity and scenario modeling, and capital stack structuring.

· Oversee independent third-party valuations and ensure valuation methodologies are appropriate, defensible, and compliant with applicable regulatory and accounting standards.

· Prepare investment memoranda and present recommendations to the Investment Committee, CEO, and Board for approval.

· Benchmark deal terms and pricing against comparable market transactions to ensure competitive and value-accretive acquisitions.

3. Deal structuring and execution:

· Design, in collaboration with the in-house Legal team, the optimal transaction and ownership structures (including SPV/LLC structuring) for pooled assets, balancing tax efficiency, regulatory compliance, tokenization readiness, and investor protection.

· Lead negotiation of underwriting terms, sale and purchase agreements, and related transaction documentation in coordination with the in-house Legal team and external counsel.

· Coordinate cross-functional deal execution, including finance, legal, compliance, and technology/tokenization teams, to ensure timely and efficient closing.

· Manage third-party service providers and government bodies involved in execution (valuers, escrow agents, notaries, property managers, Department of Land, RERA, etc).

· Ensure all closed transactions are properly documented, financed, and onboarded into the Company's asset management and tokenization systems.

4. Asset management and performance:

· Own portfolio-level performance management, setting KPIs and reporting standards for occupancy, rental yield, NOI, capital expenditure, and total return across the real estate portfolio.

· Oversee the property and asset management team to ensure operational performance, tenant relations, and capital projects are executed to plan and budget.

· Conduct periodic asset-level and portfolio-level performance reviews, identifying underperformance early and directing corrective action plans.

· Manage capital expenditure and value-enhancement initiatives (renovations, repositioning, lease-up strategies) to protect and grow asset value.

· Maintain accurate, timely portfolio reporting for internal stakeholders, investors, and the Board.

5. Divestments & exits:

· Design and execute asset-level and portfolio-level exit strategies aligned with investment theses and target hold periods.

· Determine optimal exit timing and route (outright sale, partial disposal, token buyback/redemption, secondary market facilitation) based on market conditions and investor considerations.

· Lead negotiations for asset disposals, coordinating with legal, finance, and tokenization teams to ensure smooth, compliant, and value-maximizing exits.

· Manage investor communications and distributions related to exits, ensuring transparency and timely execution.

· Conduct post-exit performance reviews to capture lessons learned and refine future underwriting and hold/exit assumptions.

6. Tokenization strategy & project management:

· Design the tokenization strategy for each sourced asset, including token structure, offering size, investor eligibility, and alignment with applicable regulatory frameworks (e.g., VARA, CMA digital asset regimes, and relevant securities regulations).

· Manage the end-to-end tokenization process for real estate assets, from structuring through issuance, working closely with Legal, Compliance, and Technology teams and external service providers and partners.

· Partner with regulators and the in-house legal team to ensure tokenization offerings meet licensing, disclosure, and investor protection requirements.

· Stay current on evolving real estate tokenization regulation and market practice across the GCC, advising the CEO and Board on regulatory and strategic implications.

· Act as a key project sponsor for investment product initiatives supporting the tokenization platform, ensuring investment requirements are accurately translated into product and system design.

7. Investor relations & Stakeholder management:

· Serve as the senior point of contact for investors on investment strategy, portfolio performance, tokenized offerings, and manage the Investor Relations function.

· Prepare and present investment materials, performance reports, and strategic updates to investors, the Board, and regulators.

· Partner closely with the CEO and leadership team on capital raising, investor onboarding, and platform growth initiatives.

· Represent the Company in engagements with regulators (e.g., VARA, CMA, and other relevant authorities), industry bodies, and market participants to build credibility and support the Company's regulatory standing.

· Build and maintain relationships with brokers, developers, valuers, institutional investors, and other market participants to support deal flow and market intelligence.

8. Function development and team leadership:

· Build the Company's real estate investment function from the ground up, including policies, processes, systems, and controls covering the full asset life cycle.

· Recruit, lead, and develop a high-performing investment and asset management team as the portfolio and business scale.

· Establish investment governance frameworks, delegation of authority, and reporting lines appropriate for a regulated, fast-growing platform.

· Foster a culture of rigorous underwriting, risk awareness, and compliance across the investment function.

· Continuously improve investment processes, tools, and reporting infrastructure to support scalability as assets under management grow.

Qualifications & Experience:

• Bachelor's degree in business, Finance, or a related field. A master's degree in real estate Investment and Management is highly preferred.

• 10–15+ years of hands-on experience in the GCC in real estate investments, real estate funds, or REITs.

• Demonstrated experience building financial models for real estate investment schemes, including acquisition underwriting, cash flow forecasting, and returns analysis.

• Proven experience building real estate investment functions and teams from the ground up.

• Strong understanding of real estate tokenization regulations in the GCC and related compliance frameworks.

• Demonstrated ability to scale systems, processes, and teams in fast-paced, high-growth environments.

• Deep knowledge of the full real estate investment life cycle: sourcing, due diligence, structuring, execution, asset management, and exit.

• Strong track record of engaging with regulators, investors, and senior leadership/Board stakeholders.
