JOB PURPOSE

Support the CG Team in the development and implementation of the Corporate Governance program, strategy, policies, procedures, and related improvement projects to ensure that the overall business is fully compliant with internal and external requirements.

KEY ACCOUNTABILITIES

Governance program
u2022 Support the corporate governance team in his/her role as General Counselu2019s support for the activities related to Bod Secretary and relevant Board Committees.
u2022 Support in gathering and review of data related to activities and programs required for Management
Committee and Sub-Committeesu2019 establishment, merging and abolishment, including Charters.
u2022 Support in formatting and updating of Department documentation, oversee the review and update of Company DOA Corporate policies in line with instructions and procedures.
u2022 Support in update and maintain the Document Governance Framework including Templates.
u2022 Coordinate, collect and organize data, presentation formats for management meetings, as required and relating to corporate governance matters, as required.
u2022 Support GCDM in maintenance of Corporate Structure Register and the subsidiaries licensing process.
u2022 Collaborate with Legal Team in issuing, revoking and maintaining the PoA for Company Management and other relevant personnel
u2022 Facilitate corporate reporting and oversee record management to ensure availability of documents
and data to authorized personnel Liaise with different parties to ensure corporate governance practices are in accordance with relevant governmental bodies and have aligned with international
best practice (including that of ADNOC Group). Maintain a central repository for corporate governance policies and procedures, and ensure they are duly updated to reflect current requirements and to capture any changes accordingly.
u2022 Responsible for assessing effectiveness of corporate governance practices and furnish inputs for
quarterly reports to management on status of corporate governance framework, key gaps, and
enhancement recommendations.
u2022 Advise and assist ADD personnel on effective delegation of authority across all levels of
organization.
u2022 Assist CGDM and C-suite on matters relating to formation of management committees and defining their roles and responsibilities along with its composition.
u2022 Periodic assessment of triggers that imply the need for updating the delegation of authority, policies, and procedures, coordinating updates to the delegation of authority and assisting in presenting for alignment and approval.

Paralegal activities
u2022 Follow-up on documents with legal/corporate governance issues and execute paralegal activities to ensure a timely response to inquiries and regular follow ups on such matters/cases for proper recording and closure.

QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS

u2022 Bachelor Degree in Law degree preferred
u2022 6 years of relevant experience
u2022 Excellent computer skills
u2022 High level of English writing, reading and speaking skills
u2022 Eye for detail
