Job Description

Job Summary:

The Board Affairs Specialist is responsible for supporting the organization's governance framework by coordinating board and committee activities, ensuring compliance with legal and regulatory requirements, and maintaining accurate corporate records.

Key Responsibilities:

  • Coordinate and manage board and committee meetings, including scheduling, agenda preparation, and logistics.
  • Prepare and distribute meeting materials, minutes, and resolutions in a timely manner.
  • Maintain official corporate records, documents, and governance files.
  • Ensure compliance with applicable laws, regulations, and internal governance policies.
  • Assist in drafting board resolutions, reports, and official correspondence.
  • Liaise with internal departments and external stakeholders on board-related matters.
  • Monitor action items from board meetings and follow up on their implementation.
  • Support onboarding and orientation of new board members.

Qualifications:

  • Bachelor's degree in Law, Legal Studies, or a related discipline.
  • 2–4 years of relevant experience in board affairs, corporate governance, or legal support.
  • Strong understanding of corporate governance principles and regulatory requirements.
  • Excellent organizational and time management skills.
  • Strong written and verbal communication skills.
  • High level of discretion and confidentiality.
  • Proficiency in Microsoft Office and document management systems.

PreferredSkills:

  • Experience working with senior executives or board members.
  • Familiarity with governance frameworks and compliance standards.
  • Attention to detail and ability to manage multiple priorities.
