The Chief Legal Officer (CLO) is responsible for leading and overseeing the entire legal function across the Group and its subsidiaries. The role ensures full legal compliance, manages high-stakes litigation, mitigates corporate risk, and provides strategic legal guidance to executive leadership and the Board.
The CLO plays a critical role in protecting the Group's interests, particularly within real estate development, construction, investment, and related sectors.
Job Responsibilities
- Legal Strategy & Governance
- Develop and implement the Group's legal strategy aligned with business objectives.
- Serve as chief legal advisor to the CEO and Board of Directors.
- Oversee corporate governance framework across all subsidiaries.
- Ensure compliance with Egyptian laws and relevant regulatory bodies.
- Litigation & Dispute Management (Core Requirement)
- Lead and manage all litigation cases (civil, commercial, real estate, labor, and criminal matters where applicable).
- Develop litigation strategies and oversee external law firms.
- Handle high-value disputes related to real estate, construction claims, and contractual breaches.
- Manage arbitration cases and settlement negotiations.
- Provide legal risk assessment and recommend preventive actions.
- Real Estate & Development Legal Oversight
- Lead all legal matters related to real estate development, land acquisition, joint ventures, and project structuring.
- Review and structure sales contracts, development agreements, contractors agreements, and FIDIC-based contracts.
- Oversee legal aspects of land registration, zoning, permits, and regulatory approvals.
- Support investment structuring and real estate transactions.
- Corporate & Commercial Affairs
- Draft, review, and negotiate complex commercial contracts.
- Oversee mergers, acquisitions, partnerships, and joint ventures.
- Supervise legal due diligence processes.
- Ensure subsidiaries operate within legal and regulatory frameworks.
- Risk Management & Compliance
- Identify legal risks across business operations and implement mitigation plans.
- Establish compliance programs and internal policies.
- Supervise internal investigations and legal audits.
- Leadership & Department Management
- Lead and develop the Group Legal Department.
- Manage relationships with external legal advisors and consultants.
- Set legal KPIs and performance standards.
- Control legal budget and optimize external counsel costs.
Relationships With Other Parties
Internal Stakeholders
- Act as primary legal advisor to the CEO, Board of Directors, and executive management.
- Collaborate with Finance, HR, Operations, Development, and Commercial teams.
- Guide subsidiary leadership on compliance, contracts, and risk management.
- Ensure alignment between legal strategy and business objectives across the Group.
External Stakeholders
- Manage relationships with external law firms, legal consultants, and advisors.
- Liaise with governmental authorities, regulatory bodies, and licensing agencies.
- Represent the Group in negotiations, arbitration hearings, and official legal proceedings.
- Maintain professional networks in legal and real estate sectors to support business growth.
Requirements
Educational Qualifications
- Bachelor's Degree in Law (LLB) - Mandatory
- Master's Degree in Law or relevant postgraduate studies - Preferred
- Licensed to practice law in Egypt
Experience
- 15+ years of progressive legal experience
- Minimum 7-10 years in a senior legal leadership role
- Strong background in real estate development and construction law
- Proven experience managing complex litigation and arbitration cases
- Experience within group structures or multi-subsidiary organizations is highly preferred
Technical Skills
- Advanced knowledge of Egyptian corporate, commercial, real estate, and labor laws
- Strong litigation and arbitration management expertise
- Executive-level contract drafting and negotiation skills
- Risk assessment and compliance framework development
- Familiarity with FIDIC contracts and real estate regulatory procedures
