The Company Secretary will play a critical role in ensuring the organization adheres to corporate governance standards, complies with regulatory requirements, and maintains accurate statutory records. The role requires a trusted advisor who can influence senior leadership while ensuring legal and compliance frameworks are consistently upheld.
Key Responsibilities:
- 1. Corporate Governance
- Advise the Board and executive management on corporate governance matters and statutory obligations.
- Ensure the organization complies with best practices in governance and regulatory frameworks
- Develop, review, and implement corporate governance policies and procedures
- Support board and committee meetings, including preparation of agendas, minutes, and documentation
2. Compliance
- Ensure the company complies with applicable laws, regulations, and internal policies.
- Monitor changes in legislation and regulatory requirements within the UAE and wider GCC.
- Provide timely updates and guidance to management on legal and regulatory developments.
- Support internal compliance audits and risk mitigation initiatives
3. Legal & Regulatory Filings
- Oversee the preparation and submission of statutory filings and regulatory documentation.
- Ensure timely filing of annual reports, financial statements, and trade licence renewals.
- Liaise with regulatory authorities, government bodies, and external advisors where required
4. Record Keeping & Corporate Documentation
- Maintain and update statutory registers, including:
- Register of shareholders
- Register of directors
- Other corporate records and legal documentation
- Ensure safe custody and organization of both physical and electronic records.
- Maintain and regularly update the company organogram to reflect current structures.
- Ensure management has access to accurate, up-to-date corporate information

Qualifications
- Bachelor's degree in Business Administration, Law, Commerce, or a related field.
- A professional qualification in Company Secretarial Practice (preferred).
Experience
- Minimum 5 years experience in a company secretarial or similar governance/compliance role.
- Proven experience working within a corporate environment in the UAE or wider GCC region.
- Strong understanding of regional legal and regulatory frameworks
