Contracts Manager
Reports to: Executive Managing Director / CEO
About the Opportunity
Our client, a leading power and water company, is seeking a senior Contracts Manager to provide legal oversight and management of the company's contracts and agreements. This role safeguards the company's legal and commercial interests by proactively identifying, analysing, and mitigating contractual and regulatory risks across a portfolio of project agreements.
Job Purpose
To ensure all contracts and agreements comply with legal and regulatory requirements, providing legal oversight and management of the company's contracts to ensure external counterparties fully comply with contractual terms and conditions.
Key Accountabilities
- Lead and direct all contractual and legal aspects of project execution, including risk assessment and dispute resolution
- Administer and manage Power Purchase Agreements (PPA), O&M Agreements, LTSAs, Fuel Supply Agreements, EPC contracts for capital works, and various Project Agreements; manage stakeholders effectively in line with contracts, and draft/negotiate amendments
- Respond effectively to correspondence from counterparties, ensuring the company's interests are protected
- Monitor capital project progress against contract schedules and ensure adherence to program
- Interface with senior management, finance, and legal personnel to meet overall project deliverables
- Establish procedures for administration of company contracts
- Review and verify contractor invoices for compliance with contractual terms
- Prepare invoicing procedures and work with the model consultant to finalise the settlement system and plant model software
- Monitor and manage the company's registration documents, certifications, permits, and NOCs, ensuring timely renewals
- Support corporate governance: prepare Board and Shareholder Resolutions, draft/update Board and Committee Charters, and handle statutory filings
- Oversee and coordinate work by specialised external legal counsels and advisors
Qualifications & Experience
- Bachelor's (or equivalent) Law degree and/or Master's in Law; an Engineering degree is advantageous
- 15+ years of professional experience in the legal function, including at least 8 years directly in contract management
- Experience within I(W)PP frameworks in the power and water industry, with strong knowledge of core project documents in I(W)PP structures
- Strong negotiation skills
- Collaborative, solutions-oriented approach with strong communication skills
- Able to work independently as well as within a team, managing workload and priorities effectively
