About Novagate

Novagate is an AI infrastructure company focused on GPU cloud services and AI compute solutions. We work closely with leading GPU vendors, hyperscalers, data center partners and enterprise AI customers across multiple jurisdictions.

As we expand globally, we are looking for an experienced legal professional to establish and manage our legal, corporate governance and compliance functions.

This role will work closely with the CEO and business leadership on commercial transactions, regulatory compliance, cross-border operations and strategic initiatives.

Key Responsibilities

1. Commercial Contracts

Draft, review and negotiate commercial agreements, including:

- Master Service Agreements (MSA)

- Cloud Service Agreements

- NDAs

- Purchase Agreements

- Partnership Agreements

- Distribution Agreements

- SaaS Agreements

- Procurement Contracts

- Service Level Agreement (SLA)

Advise business teams on contractual risks and commercial structures.

2. Corporate Governance

Manage corporate governance matters for Singapore headquarters and overseas entities.

Coordinate incorporation of new subsidiaries where required.

Support board resolutions, shareholder matters and statutory filings.

Work with external corporate secretaries and local counsel.

3. Regulatory Compliance

Develop and maintain the company's compliance framework covering:

- Export Control Compliance

- Sanctions Compliance

- Anti-Money Laundering (AML)

- Anti-Bribery & Corruption(ABC)

- Data Privacy

- Corporate Compliance

Monitor legal and regulatory developments across: Singapore, Malaysia, Thailand, Indonesia, Brazil, France and United States.

4. Government & Regulatory Engagement

Support communications and regulatory requests involving:

- Government authorities

- Regulatory agencies

- Export control authorities

- Customer compliance teams

- GPU vendors and strategic partners

Prepare responses for:

- Regulatory inquiries

- Due diligence requests

- KYC requests

- Compliance questionnaires

- Government audits

- Vendor compliance reviews

Experience supporting export control or government compliance matters involving advanced technologies is highly preferred.

5. Customer & Partner Due Diligence

Lead legal due diligence for customers, suppliers and strategic partners, including:

- KYC

- Corporate verification

- Beneficial ownership checks

- Export control assessments

- Compliance risk reviews

6. AI Infrastructure & Export Control Compliance

Lead legal support relating to U.S. export control regulations affecting advanced computing infrastructure.

Support internal reviews relating to customer eligibility, end-user and end-use assessments.

Coordinate legal responses involving GPU vendors, hyperscalers and regulatory authorities.

Work closely with commercial and technical teams to ensure compliance with applicable export control requirements.

7. External Counsel Management

Manage relationships with external law firms across multiple jurisdictions.

Coordinate legal advice involving:

- Commercial transactions

- Employment matters

- Litigation

- Regulatory matters

- Corporate restructuring

8. Risk Management

Identify legal and compliance risks relating to:

- GPU infrastructure projects

- AI cloud services

- Cross-border transactions

- Enterprise customers

- Vendor relationships

Recommend practical and commercially viable solutions.

Qualifications

Law degree (LLB/JD) from a recognized university.

Qualified lawyer in Singapore, the UK, Australia or another common law jurisdiction preferred.

5-10+ years of legal experience, including significant in-house experience.

Experience supporting regional or international businesses.

Strong commercial drafting and negotiation skills.

Excellent English communication skills.

Mandarin is an advantage to support communication with Chinese-speaking stakeholders and regional counterparts.

- Enterprise Software

- Telecommunications

- Technology

Experience with:

- Export controls (including U.S.EAR/BIS)

- KYC / AML

- Vendor compliance

- International commercial contracts

- Cross-border corporate governance

Experience working with U.S. technology companies or hyperscalers is highly desirable.
