- Chartered Governance Institute qualification, formerly ICSA, is preferred

Our client is a global leader in the commodity trading sector (based in town). The co works 100% in office. This is a permanent role. The company is renowned and offers attractive variable bonus for good performers.
For this role, you play a corporate secretarial specialist role. You report to the Senior team manager based in Singapore, with an added reporting line to the Head of Corporate Governance/corporate secretarial in the global/overseas HQ.
Key responsibilities:
- Coordinate subsidiary governance requirements, including maintaining appropriate governance processes and documentation, preparing board/shareholder written resolutions, minutes and related materials, and supporting compliance with constitutional documents, shareholder agreements, statutory and regulatory requirements, and internal policies and procedures.
- Prepare KYC packs in response to counterparty due diligence requests, including collating and reviewing relevant corporate information, constitutional documents, ownership and governance details and other supporting materials to ensure responses are accurate, complete and timely.
- Maintain the corporate database and ensure accurate filing and retention of corporate records and key entity documentation.
- Assist with the preparation, execution, notarisation and legalisation of corporate, commercial and intercompany documents, including liaising with notaries, embassies and other external parties as required.
- Provide administrative and governance support for corporate restructurings and entity lifecycle matters, including formations, mergers, dissolutions and related documentation.
- Work with members of the global corporate governance and legal teams on special projects, process improvements, and other initiatives.
Qualifications:
- Minimum 5 to 10 years of relevant experience in a law/corporate secretarial firm, in-house legal /corporate secretarial department, with a strong understanding of company law and experience handling ACRA matters.
- Chartered Governance Institute qualification, formerly ICSA, is preferred.
- Added commodity trading or shipping industry exposure will be beneficial (but this is not a must)
- Well organised, detail-oriented and able to prioritise and manage workload effectively in a fast-paced and global MNC environment.
