Job Summary
The Deputy Head of Corporate will support the Head of Corporate in overseeing global corporate governance, entity management, and cross-border transactions across iGaming and technology operations. This role plays a key part in maintaining compliant corporate structures, supporting M&A activities, and ensuring alignment with regulatory licensing requirements in multiple jurisdictions.
The position requires strong experience in international corporate structuring, governance frameworks, and transaction execution within a fast-paced, regulated industry.
Key Responsibilities
Corporate Governance & Entity Management
- Support management of the global entity portfolio across multiple jurisdictions.
- Oversee company incorporations, restructurings, liquidations, and ongoing maintenance.
- Ensure statutory compliance, filings, annual returns, and corporate record keeping.
- Prepare and review board resolutions and corporate documentation.
- Coordinate with external corporate service providers and local counsel.
M&A & Strategic Transactions
- Assist in managing mergers, acquisitions, joint ventures, and internal restructurings.
- Coordinate due diligence processes and documentation review.
- Draft and negotiate transaction documents including SPAs, SHAs, and related agreements.
- Support post-transaction integration and corporate alignment.
Regulatory & Licensing Support
- Ensure corporate structures comply with gaming regulatory requirements (e.g., MGA, UKGC, Curacao, etc.).
- Prepare and manage corporate documentation for license applications and renewals.
- Support UBO disclosures and regulatory reporting obligations.
Risk Management & Compliance
- Identify corporate governance risks and recommend mitigation strategies.
- Develop and improve internal corporate governance policies and SOPs.
- Ensure transparency and compliance with AML and beneficial ownership requirements.
Leadership & Stakeholder Engagement
- Act as Deputy to the Head of Corporate and represent the function when required.
- Supervise and mentor junior corporate legal team members.
- Collaborate closely with Compliance, IP, Commercial, Finance, and Executive teams.
- Provide strategic advice to senior management on corporate matters.
Qualifications & Experience
- LLB or equivalent legal qualification; bar admission preferred.
- 812+ years of corporate legal experience.
- Strong experience in multi-jurisdictional corporate structuring and governance.
- Experience in regulated industries such as iGaming, fintech, or tech is highly preferred.
- Exposure to cross-border M&A is an advantage.
