Job Summary: The role will ensure the organization complies with legal, statutory, and regulatory requirements while facilitating good corporate governance and act as a key liaison between the board of directors and stakeholders, managing board meetings, maintaining statutory registers, and advising on compliance.
Key Responsibilities:
- Board Support & Governance: Preparing agendas, attending, and taking minutes for board meetings, committees, and AGMs. Ensuring board procedures are followed and providing legal/strategic advice.
- Regulatory Compliance: Ensuring compliance with the Companies Act, Articles of Association, and relevant legislation. Maintaining statutory books and records.
- Regulatory Filings: Filing annual returns, financial statements, and other documents with regulatory bodies.
- Stakeholder Liaison: Acting as a bridge between the board, management, and shareholders.
- Corporate Advice: Providing updates on regulatory changes and advising directors on their legal duties and responsibilities.
Required Skills & Qualifications:
- Highly organized with strong attention to detail.
- Strong legal, corporate governance, or company law knowledge.
- Excellent communication and interpersonal skills.
- Professional qualification, such as being a Chartered Secretary (ICSA/CGI) or a qualified lawyer with a minimum of Bachelors degree in Law or related field.
