About the Job:

As Director - Legal (corporate law), you will provide strategic legal advice and hands-on corporate and commercial legal support across a broad range of business matters, ensuring legal risks are effectively managed while enabling the organization to achieve its commercial objectives. Reporting to the Head of Legal, you will partner closely with senior stakeholders across the business on key strategic, operational, governance, and legacy matters. Lead the provision of legal advice to the business on corporate, commercial, governance, and strategic matters.

• Provide strategic legal advice and day-to-day legal support across corporate, commercial, governance, and regulatory matters.
• Draft, review, negotiate, and advise on a wide range of commercial agreements, corporate transactions, MOUs, and business contracts.
• Support senior management on key business initiatives, complex legal matters, and strategic projects across the organization.
• Advise on corporate structures, governance arrangements, delegated authorities, and broader corporate activities.
• Identify, assess, and mitigate legal risks, ensuring material issues are appropriately escalated and managed.
• Manage and oversee the organization's intellectual property portfolio and related legal matters.
• Coordinate with external counsel and counterparties on domestic and international matters where specialist support is required.
• Guide and mentor junior legal professionals while contributing to the continued development of the legal function.

About You:

• Qualified Solicitor in England & Wales or another recognized common law jurisdiction with a minimum of 10 years post-qualification experience (PQE).
• Proven experience providing broad corporate and commercial legal support within a large organization or leading law firm, with significant exposure to day-to-day commercial contracting and corporate advisory work.
• Strong understanding of UAE legal and regulatory frameworks.
• Demonstrated expertise drafting, reviewing, and negotiating a range of commercial agreements, corporate documents, governance frameworks, and business contracts.
• Experience advising senior leadership and executive stakeholders on legal, governance, risk, and commercial matters.
• Strong commercial acumen with the ability to provide practical, business-focused legal advice while effectively managing risk.
• Previous experience supervising, mentoring, or developing junior lawyers is highly desirable.
• Experience supporting international projects and managing external counsel is desirable.
