Group Legal Director

Job Responsibilities

1. Corporate Governance and Partnership System: Promote the design and implementation of the group's corporate governance and partnership system to ensure the effectiveness and compliance of the company's governance structure.

2. Strategic Cooperation Project Management: Organize and collaboratively plan and implement major strategic cooperation projects, including mergers and acquisitions, restructuring, and equity investments; conduct risk assessments and monitoring of strategic partners to ensure the legality and compliance of transactions.

3. Legal Risk Management and Compliance Review: Proficient in international law, company law, securities law, contract law, and other relevant laws and regulations; conduct transaction risk assessments, design structural frameworks, conduct compliance reviews, and build risk control systems.

4. Legal Support in Comprehensive Business Operations: Familiar with various oil and gas transaction laws and contracts; design and promote complex transaction plans to ensure they align with the company's interests and mitigate legal risks.

Job Requirements

1. Master's degree or above in law or related field, holding a mainstream legal professional qualification in China or other regions, with preference given to those with licenses to practice in mainstream international jurisdictions;

2. Over 8 years of legal work experience, including over 5 years of legal management experience in the energy industry or large group, familiar with corporate governance, and the design and optimization of holding company structures;

3. Proficient in company law, securities law, contract law, and other relevant laws and regulations, with the ability to coordinate legal affairs across multiple levels within a group;

4. Able to lead the design of complex transaction structures (such as exploration rights transfers, cross-border transactions, etc.), and possess the ability to conduct transaction risk assessments and compliance reviews. 5. Possesses excellent legal analysis, contract negotiation, and risk warning capabilities, and can independently provide legal support for major capital projects;

6. Familiar with international legal affairs, fluent in English, and able to use English as a working language in cross-border transactions and cooperation;

7. Preference will be given to candidates from top law firms energy groups, oil companies/Big Four oil service capital operation legal teams;

8. Possesses strong communication, coordination, and cross-departmental collaboration skills, and can efficiently facilitate transactions in complex environments;

9. Possesses strategic thinking and can deeply integrate legal compliance work into the company's overall strategy.
