The Group Legal Director will solidify our legal standing as a leading luxury development group but to also enhance and improve this moving forward.
Key responsibilities;
- Draft, negotiate, and advise the company on transactional documents; including purchasing and sales agreements, license agreements, leases, contract drafting, shareholder agreements, international transactions, and other business contracts.
- Advise the company on international compliance requirements including but not limited to e-commerce, payment collection, pay-out, direct selling MLM and related statutes of local jurisdiction.
- The position will provide legal advice and risk management counselling on a variety of legal issues such as transactional matters (securities, mergers, acquisitions, joint ventures, financing, etc.), commercial contracts (review, drafting and administration), corporate maintenance (shareholder/board resolutions), and employment issues, among others.
- Advise the company on compliance issues involving the existing agreements or proposed transactions of the company and any of its subsidiaries with partners, employees, contractors, business associates, and potential customers.
- Provide legal counsel to internal clients of the company.
- Track contract compliance and update and renew contracts as required by company and any of its subsidiaries.
- Work in collaboration with the outside counsel on domestic legal matters.
- Lead and/or manage internal investigations related to Corporate Governance, HR and other relevant matters.
- Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.
- Serves as key lawyer/legal advisor on business transactions. Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted.
- Supports outside counsel as required.
Requirements;
- LLB with min of 15 years of experience of which 5 years in a Senior/Head/Director capacity
- Background of working at a leading UAE Developer or a private practice with a heavy focus on real estate. Construction/Contracting experience is a plus.
- Proven experience in successfully handling real estate court cases.
- Expert in drafting, negotiating, reviewing and advising across a number of business documents, both contractual and commercial.
- Significant understanding of local laws, regulations and trends in the real estate sector.
