The Senior Legal Counsel will provide strategic legal guidance and support to the business, ensuring that the company complies with all applicable laws and regulations. This role involves handling complex legal matters, advising senior management, negotiating contracts, and mitigating legal risks. The Group Senior Legal Counsel will work closely with the Chief Legal Officer (CLO) and other members of the legal team to ensure the company's legal interests are protected.
KEY ACCOUNTABILITIES:
Legal Advisory:
- Provide expert legal advice on a wide range of legal issues, including corporate governance, regulatory compliance, contracts, and dispute resolution.
- Support the CLO in advising the Board and senior management on legal matters affecting the business.
Contract Review & Negotiation:
- Draft, review, and negotiate complex commercial contracts, agreements, and other legal documents to ensure the company's interests are protected.
- Assist in managing contractual disputes and lead contract negotiations with clients, suppliers, and service providers.
Regulatory Compliance:
- Ensure that the company remains compliant with local, regional, and international laws and regulations.
- Monitor changes in the legal landscape and advise the company on potential impacts to the business.
Litigation & Dispute Resolution:
- Manage and oversee legal disputes, including liaising with external legal counsel and coordinating litigation strategies.
- Lead the resolution of disputes through mediation, arbitration, or court proceedings, when necessary.
Risk Management:
- Identify legal risks associated with business operations and provide solutions to mitigate such risks.
- Ensure the company has effective policies and procedures in place to manage potential legal risks.
Corporate Governance:
- Support the CLO in managing corporate governance matters, including Board resolutions, minutes, and compliance with corporate laws.
- Assist in preparing legal reports for the Board and other senior stakeholders.
Team Mentorship:
- Provide guidance and mentorship to junior legal staff and support their professional development.
- Assist in fostering a collaborative and high-performance culture within the legal department.
Training & Development:
- Develop and maintain legal resources and templates for internal use.
- Provide training to employees on legal topics, including contract management, compliance and risk management.
EXPERIENCE & QUALIFICATION:
- Bachelor's degree in Law (LLB); a Master's degree (LLM). Licensed to practice law in the relevant jurisdiction.
- 8+ years of legal experience, with a focus on corporate and commercial law. Previous experience in a multinational company or leading law firm is preferred.
