Job Description
Mal is a group being built properly as it grows: an ADGM holding structure, a wholly owned technology company, an ADGM applicant for a financial services permission, an Abu Dhabi bank at preliminary approval stage, and entities in the UK and US. Each of them needs a governance framework that will stand up to a regulator, a shareholder and an auditor.
Key Responsibilities:
- Board and committee constitution, charters and terms of reference, calendars, papers, minutes and the resolution record, across several entities and jurisdictions
- The authority model: delegation of authority matrices reconciled against the powers of attorney that make them effective outwardly, kept current as entities and licences are added
- Entity management and the statutory books, including appointment and supervision of the corporate service provider
- Corporate housekeeping - keeping registers, articles, constitutional documents and filings consistent with one another
- The shareholder machinery under the shareholders agreement: reserved matters, consents, notices and adherence, and getting matters approved by the right organ in the right order
- Directors and officers cover and deeds of indemnity
- Corporate filings across the group's registries
Must-Have Qualifications:
- A legal qualification, with corporate governance or company secretarial practice at a regulated financial institution or a listed group
- Real board and shareholder mechanics, not minute taking
- Multi-entity, multi-jurisdiction entity management
- Comfort with a shareholders agreement and articles as working documents
- The judgement to tell an executive that something has to be done in a particular sequence, and the patience to make that sequence happen- Excellent drafting
Nice to Have:
- UAE and free zone experience
- UK or EU governance standards
