Key Responsibilities
- Review of Critical Infrastructure Contracts Lead legal review and negotiation of B2B partnership agreements, including those with card networks (e.g., Mastercard), cloud infrastructure providers (e.g., AWS), banking partners, and KYC/AML solution providers (e.g., Concadus). Ensure alignment with commercial and operational requirements.
- Legal Advisory to Business Units Provide legal guidance to the Cards and Growth business units on regulatory and commercial risks associated with infrastructure and partnership deals. Propose risk-based solutions to support timely deal execution while protecting company's legal interests.
- Infrastructure Due Diligence Conduct legal due diligence on prospective infrastructure partners to assess their ability to meet contractual obligations, particularly around key representations, warranties, and service capabilities.
- Ongoing Partnership Governance Monitor ongoing obligations under critical infrastructure agreements and ensure that relevant stakeholders are advised of their responsibilities. Proactively manage contract renewals, milestones, and compliance deliverables.
Qualifications
- Law degree (JD, LLB, or equivalent) and licensed to practice in at least one jurisdiction
- 10+ years of legal experience, ideally in fintech, crypto, or technology sectors
- Proven track record in drafting and negotiating B2B infrastructure agreements (e.g., cloud, banking, card schemes)
- Experience with legal due diligence and advising on risk allocation, warranties, and obligations
- Familiarity with managing post-deal obligations and cross-border legal considerations
- Strong communication, stakeholder management, and commercial judgment
