Role Brief:
The Legal Counsel will provide commercially focused legal support across the Group's corporate, investment, and operational activities. The role is responsible for drafting and negotiating complex legal documentation, advising on transactions and governance matters, supporting investment and platform structuring, and mitigating legal and regulatory risk across the Group's activities.
The incumbent will act as a trusted legal advisor to internal stakeholders, balancing legal risk with commercial objectives in a dynamic, multi-sector investment environment.
Core Tasks, Responsibilities and Authority:
Legal Advisory and Contracting
- Draft, review, and negotiate a broad range of commercial and corporate agreements, including:
- Joint Ventures
- Shareholder Agreements
- Memoranda of Understanding
- Share Sale / Purchase Agreements
- Software Development Agreements
- Strategic Partnership Agreements
- Provide timely, practical, and business-oriented legal advice to internal stakeholders across corporate, commercial, regulatory, employment, and cross-border matters.
- Clarify legal concepts, contract terms, and regulatory implications to support informed business decision-making.
Transactional Support
- Support and lead legal workstreams on corporate transactions including:
- Mergers & Acquisitions
- Divestments
- Joint Ventures
- Real Estate Developments
- Internal Restructuring Initiatives
- Assist in structuring investments and platforms across the Group, including advising on legal frameworks, entity structures, and risk allocation.
Governance and Compliance
- Develop, implement, and maintain corporate governance frameworks including:
- Delegation of Authority (DoA)
- Powers of Attorney (PoA)
- Internal Governance Policies
- Monitor compliance with governance frameworks and regulatory obligations.
- Identify, assess, and mitigate legal and regulatory risks associated with business operations and strategic initiatives.
External Counsel and Stakeholder Management
- Manage relationships with external legal counsel, regulators, and government authorities.
- Oversee external legal mandates and ensure efficient and cost-effective legal support.
- Coordinate with internal stakeholders across departments to ensure alignment on legal and commercial matters.
Regulatory and Market Monitoring
- Monitor relevant legal and regulatory developments locally and internationally.
- Assess implications of regulatory changes on Group activities and provide proactive recommendations.
