1. JOB PURPOSE:
u00B7 Provide legal advice and services with a particular focus on Legal Commercial and Operational matters.
u00B7 Draft, review, and amend legal opinions, agreements and documents.

Legal Commercial & Operations Key Accountabilities
Provision of legal advice and support relating to:
u00B7 agreements, documents, projects and investment transactions for BLDs, BSDs and BSFs supported by Legal Commercial & Operations
u00B7 general commercial contracts, employment law, health/medical law matters, real estate, hospitality, corporate transactions, corporate governance, policies and procedures and
u00B7 intellectual property, projects and activities.
Key components of the role are:
u00B7 Provide legal counsel and advice to various parts of the Business as a Legal Business Partner
u00B7 Provide legal counsel and advice to Business Line Directorates (u201CBLDs), Business Support Directorates (u201CBSDsu201D), Business Support Functions (u201CBSFsu201D) and group companies in relation to commercial, non-commercial and operations related agreements, projects and matters
u00B7 Provide legal support to the ADNOC Group for commercial, non-commercial and operations related agreements, projects and matters
u00B7 Instruct and supervise external legal counsel advising on legal matters relating to BLDs and group companies under each BLD, including managing and monitoring performance of the external legal counsel along with legal spend and budget and
u00B7 Produce legal agreements that reflect the ADNOC Groupu2019s risk appetite, safeguard its best interests and ensure due and proper compliance with all applicable laws as well as to prepare standard form agreements, guidelines and deliver training sessions to BLDs, BSFs, BSDs and group company LGC business unit colleagues on relevant legal requirements for commercial and operations related agreements, save except for non-centralized activities.

Stakeholder Management
u00B7 Assist VP/Manager/Section Head Legal Commercial & Operations with day-to-day operations of the Legal Disputes & Executive Affairs Business Unit.
u00B7 Represent Legal Commercial & Operations in various task forces, events and committees.
u00B7 Prepare, deliver, and present reports.
u00B7 Collaborate with various internal and external stakeholders.
u00B7 Assist with the appointment of external lawyers and experts and the assessment of the performance of external lawyers and experts.
Risk Management
u00B7 Input into Corporate Integrated Risk Management System within the Business Unit.
Innovation and Continuous Improvement
u00B7 Assist VP/Manager/Section Head Legal Commercial & Operations in promotion of an organisation culture that encourages innovation, enhances employee motivation and supports initiatives for implementation of Change Management to continuously improve the Business Unit operations and services.
u00B7 Recommend improvements in internal processes against best practices in pursuit of greater efficiency in line with approved standards in order to define intelligent solutions for issues confronting the Business Unit.
Health, Safety, Environment (HSE) and Sustainability
u00B7 Support the implementation of an HSE culture and compliance with relevant HSE policies, procedures, systems & controls and applicable legislation and sustainability guidelines across the Business Unit in line with ADNOC Code of Practices.
Management Information Systems (MIS) and Reports
u00B7 Contribute and input into Business Unit MIS and deliver progress reports to provide accurate and timely reports and necessary information to effectively manage operations of the Legal Commercial & Operations Business Unit.

4. QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS:
Minimum Qualification
u00B7 Bacheloru2019s degree in law
Minimum Experience & Knowledge & Skills
u00B7 5 years of Post Qualification Experience in transactional work in a reputable international law firm and/or in-house legal department, preferably within the energy or technology industry.
u00B7 Excellent English language (written and spoken). Fluent Arabic in addition is an advantage.
u00B7 Knowledge of applicable legislations and regulations.
u00B7 Knowledge of business and international best practices.
u00B7 Strong background and expertise in a broad range of commercial areas (see section 4 above), business strategy, stakeholder management and advisory.
Professional Certifications
u00B7 Must be a qualified lawyer in a civil and/or common law jurisdiction.
