Al Tayer Group is looking for a Legal Counsel to join our dynamic Legal team in Dubai, UAE.
Qualifying Criteria:
- Graduate degree in Law from a reputed university; UK/US qualified preferred.
- At least 4 years of Post-Qualified Experience (PQE).
- Excellent English drafting skills, with proven ability to document complex negotiation outcomes independently.
- Strong private practice background with thorough training.
- Previous experience at a top-tier international law firm, with exposure across multiple sectors.
- Expertise in Mergers & Acquisitions (M&A) and/ or commercial law.
- Strong work ethic and structured thought process.
Job Profile :
- Lead negotiator for transactions, excluding complex transactions.
- Overseeing quality of output.
- Providing direction on tactics, research and contextual awareness.
- Liaison point with business on the above.
- Supporting the Al Tayer Group legal function by providing legal expertise and services, including:
- Supporting the internal business units in strategy and execution of corporate objectives;
- Reviewing, amending and approving legal structures and contracting methods.
- Providing subject matter expertise for compliance and governance.
- Leading contractual negotiations with external lawyers and/or counterparties and
- Ensuring internal stakeholders are fully aware of the risks, mitigations and key legal issues in any contractual commitment for the Group.
Strategic Roles and Responsibilities
- Show initiative in relation to the formulation of goals and their implementation.
- Drafting oversight and control in relation to all transactions except complex transactions.
- Share policeman responsibilities in relation to compliance with relevant laws and industry best practice.
- Retaining contacts with key external legal experts in relation to all matters requiring specialist expert advice.
Functional Roles and Responsibilities
- Work closely with Chief Legal Officer, VP Legal and Managing Counsel ensuring legal concerns requiring senior level input are addressed as soon as possible.
- Lead relevant contract negotiations with principals, suppliers and counsel of counter parties.
- Investigate legal claims and complaints by or against the Group, prepare analysis to ensure that management is made aware of all aspects of the claim/allegations,
- Assist in the formation of new businesses under the Group and ensure that these are in line with regulatory requirements.
- Oversee final terms and conditions for key contracts between the Group and other parties and provide to Chief Legal Officer or relevant SLCs for final approval.
- Participate in management meetings as required and offer legal opinion on any discussed issue.
- Advise management on legal matters pertaining to their responsibilities, potential liabilities, exposures and any matters necessary for making informed decisions within their capacities in line with relevant SoAs.
- Comprehensively synthesise large volumes of information. Meticulous attention to detail.
- Company governance awareness and ability to draft company governance documentation.
- Solution orientated in a practical and compliant manner, in line with corporate governance and principles.
- Ability to understand basic key financial documentation for businesses such as balance sheets, profit and loss accounts and matters driving costs/profits
