On behalf of a diversified family group active in real estate development, institutional joint ventures, multi-brand F&B businesses and international holdings, we are seeking a Legal Counsel to join a fast-moving and transaction-heavy legal function.
Purpose
Run transactions end-to-end with minimal supervision — from term sheet to signing and completion — to the standard of a senior associate at a leading firm. This is the Group's deal execution engine: the role holds the pen against top-tier opposing counsel.
Key responsibilities
- Draft and negotiate the Group's transaction documents: joint venture and shareholders agreements, share purchase and subscription agreements, development and services agreements, franchise agreements (as franchisor and franchisee), leases of commercial significance, NDAs and term sheets.
- Run deal execution: transaction checklists, conditions precedent, approvals, signing and completion mechanics, and coordination of counterparties, advisors and local counsel across jurisdictions.
- Prepare and maintain negotiation tools: issues lists, negotiating matrices, change logs and clause-by-clause comparisons; keep positions consistent across document turns.
- Handle corporate actions: capital increases, share swaps and transfers, entity formations and conversions, constitutional documents, and Ministry of Commerce filings.
- Manage due diligence and information requests — both running DD on counterparties and responding to DD on the Group — including title, corporate and regulatory verification.
- Produce and review bilingual documents; ensure Arabic and English versions are accurate and consistent, including prevailing-language discipline.
- Identify related-party issues, approval requirements and regulatory triggers early, and route them for approval before signing.
- Supervise and develop the Junior Legal Counsel on transaction support.
Candidate profile
- 5–8 years experience with strong law firm training (international firm or leading regional practice); in-house experience a plus.
- Proven transactional record in Saudi Arabia: Companies Law mechanics, real estate and development agreements, and commercial/franchise work; GCC exposure valued.
- Excellent bilingual Arabic/English drafting — able to draft an agreement in either language from scratch, cleanly and simply.
- Meticulous: catches cross-reference errors, defined-term drift and numerical inconsistencies; triple-checks own work before it goes out.
- Self-sufficient deal manager: organised, calm under deadline pressure, and able to carry several live matters in parallel.
