Key Responsibilities & Accountabilities
1. Commercial and Corporate Legal Support
- Draft, review, negotiate, and finalise financial and commercial agreements, including banking facilities, sukuks, private placements, and partnership terms.
- Prepare and manage documentation for transactions, corporate certificates, board resolutions, and KYC documents.
- Provide legal guidance on mergers, reorganisations, intra-group agreements, and asset transfers.
- Support regulatory compliance, including AML, corporate governance, and policy implementation.
2. Hospitality and Real Estate Transactions
- Review and negotiate hotel management agreements, MOUs, LOIs, term sheets, and licensing documentation.
- Oversee real estate transactions, including land acquisitions, development agreements, and property sale/purchase contracts across jurisdictions.
3. Family Office and Private Investments
- Provide legal advice on private investments, acquisitions, and succession planning related to family assets.
- Ensure legal compliance and protection of wealth and family interests.
4. Dispute Resolution and Risk Management
- Evaluate contractual risks and liabilities, proposing mitigation strategies.
- Support litigation and dispute resolution efforts, coordinating with business units and external counsel.
5. Collaboration, Supervision, and Reporting
- Supervise and mentor junior legal staff, ensuring efficient workflow and adherence to policies.
- Collaborate with business units, internal/external auditors, and legal advisors on compliance and transaction matters.
- Monitor departmental performance against budgets and report variances.
- Contribute to policy development, training programs, and continuous process improvement.

- Strong drafting, negotiation, and documentation skills across corporate, commercial, and financial sectors.
- In-depth understanding of UAE law, real estate, capital markets, and private equity transactions.
- Proficiency in due diligence, regulatory compliance, and legal risk assessment.
- Ability to manage complex multi-jurisdictional legal matters.
- Knowledge of hospitality and licensing frameworks and family office structures.
