JOB PURPOSE:
Lead the formulation of rigorous financial structures though evaluating investment proposals, appraising financing opportunities, and implementing innovative financing in line with ADNOC Financing Strategy and Policy. Continuously support and monitor the funding requirements to provide the consultation and recommendation to the group companies and the management when needed. Lead the formulation of optimal capital structures and support the raising of required debt through multiple instruments to meet short and long-term funding requirements and maximise return on investment of ADNOC group. Manage the maintenance of ADNOC credit rating and ensure internal and external working relationship in place along with ancillary business of our major financing partners.
KEY ACCOUNTABILITIES
Job Specific Accountabilities
u2022 Support the in negotiations for the establishment of new companies, with the objective of formulating rigorous financial structures and financing arrangements.
u2022 Evaluate ADNOC and Group investment proposals, undertake feasibility studies and review financing requirements.
u2022 Appraise financing opportunities and options available to ADNOC in international financial markets and identify any concessionary financing programs from which ADNOC and/or Group could benefit.
u2022 Develop and present alternative options for re-financing and debt restructuring opportunities regarding ADNOC and Group Company liabilities.
u2022 Provide advisory services to Group Company CFOs on capital structuring and financing decisions.
u2022 Assist in the establishment and maintenance of a credit rating for ADNOC.
u2022 Develop, gather and communicate all content in regard to the annual rating review for ADNOC
u2022 Take part and guide the ADNOC Group Companies and SPVu2019s in relation to rating discussions and exercises
u2022 Support in the maintenance of the relationship with rating agencies
u2022 Lead the analysis and recommendation innovative financing solutions to meet project funding requirements.
u2022 Support the implementation of investment strategies, including joint ventures, spin-offs, and mergers and acquisitions that meet the financial targets set by the ADNOC Group for the short, medium and long term.
u2022 Maintain a view of capital structure and financing costs across the whole ADNOC Group, to enable active asset and liability management.
u2022 Coordinate the analyses of ADNOC corporate and Group Companiesu2019 balance sheets and the evaluation of the impact of management plans on financial structures, and recommend to management appropriate financing plans or programs.
u2022 Evaluate ADNOC and Group investment proposals, undertake feasibility studies and review financing requirements.
u2022 Develop and maintain economic models for use in the financial evaluation of projects and investments, and interpret feasibility studies of projects and economic models for recommendation to management.
u2022 evaluate the CAPEX pipeline of the entity to identify potential ECA financing opportunities. as part of the implementation of the agreed capital structure
u2022 Continuously monitor the long-term funding requirements of the Group, and prepare a schedule of the payment commitments for the next five years.
u2022 Develop and maintain continuous working relationships with key internal and external parties relevant to the Treasury, such as joint venture partners, Group Company management, auditors, other Directorates and financial institutions, to ensure fast and effective communication within the group and to have a central point of contact for all capital structuring related matters.
u2022 Contribute to the development, implementation, and administration of the financing strategy for ADNOC and Group Companies.
u2022 Assist in the appointment of Financial Advisors as required, including the preparation of Terms of Reference, Request for Proposal documentation, Bid Evaluation criteria and Engagement letters, and the continuous monitoring of deliverables and milestones.
u2022 Appraise financing opportunities and options available to ADNOC in international financial markets and identify any concessionary financing programs from which ADNOC and/or Group could benefit.
u2022 Appraise financing opportunities and options available to ADNOC and its Group Companies internally, and recommend financing programs.
u2022 Develop and maintains continuous working relationships with key external parties relevant to the Treasury, such as banks, financial institutions and investors, both foreign and local regarding sourcing of funds, while ensuring ADNOCu2019s corporate identity is safeguarded and information disclosure is carefully monitored.
u2022 Assist the VP, Capital Structure Advisory & Financing in liaising with relevant government entities regarding long term financing initiatives in Debt Capital Markets, in order to coordinate any financing activities.
u2022 Develop and support the assessment and designation of Know-Your-Customer documentation (FATCA, CRS, Etcu2026) forms in relations to financial institutions dealings for newly established and existing companies
u2022 Implement structuring of loans to ADNOC Group Companies, to allow them to meet project funding requirements.
u2022 Act as an observer on audit and finance committees, liaising with management, joint venture partners and auditors of the Group Companies, to ensure the timely preparation of their financial statements.
u2022 Ensure continuous alignment of group financing requirement through periodic meetings with F&I Management
u2022 Oversee the raising of required debt at the central level for the whole ADNOC Group, through Bank Financing, Structured Financing, and Debt Capital Markets.

u2022 Plan and supervise the activities of the personnel and resources of the Section to achieve the Department objectives in an efficient and cost-conscious manner while ensuring implementation of approved operational plans for the Section in line with Department objectives.
u2022 Develop the knowledge, competencies and innovative spirit in the Section and support the establishment of Personal Development Plans (PDPu2019s), Succession Planning and Talent pipeline within the Section in coordination with the Human Capability Group to continuously develop employees with emphasis on UAE Nationals to meet Emiratization targets.
Budgets and Operational Plans
u2022 Compile and provide input for preparation of the Department budgets and regularly monitor expenditure against approved the Section budget levels.
u2022 Investigate, highlight and reconcile any significant variances to ensure effective performance and cost control.
Policies, Systems, Processes & Procedures
u2022 Lead the implementation of approved Section policies, processes, systems, standards, procedures and internal controls in order to support execution of the Department work programs in line with Company and International standards.
Performance Management
u2022 Implement the Company Performance Management System for individuals within the Section in accordance with Company approved guidelines and continuously monitor the achievement of the Section KPIs related to the approved Annual Performance Management Contract and the Balanced Score Card.
Organisation Structure and Development
u2022 Review, develop and recommend the appropriate organisation structure for the Section that will best utilise human capital while proactively incorporating sustainability into the on-going work practices to meet the business objectives.
Innovation and Continuous Improvement
u2022 Encourage innovation, enhance employee motivation and support initiatives for implementation of Change Management to continuously improve operations and services.
u2022 Propose improvements in internal processes against best practices in pursuit of greater efficiency in line with ISO standards in order to define intelligent solutions for issues confronting the Section.
Health, Safety, Environment (HSE) and Sustainability
u2022 Support the institution of an HSE culture and ensure compliance with relevant HSE policies, procedures, systems & controls and applicable legislation and sustainability guidelines across the Section in line with international standards, best practices and ADNOC Code of Practices.
u2022 Ensure adequate HSE training and induction for all Section employees to meet HSE standards.
Management Information Systems (MIS) and Reports
u2022 Prepare all Section MIS and progress reports to provide accurate and timely reports and necessary information to Company Management to effectively manage the business.

QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS:
Minimum Qualification
u2022Bacheloru2019s degree Accounting, Business Administration, Finance or equivalent.
Minimum Experience & Knowledge & Skills
u202212 years of professional experience in Financing or Accounting related positions.
u2022Very good knowledge of English. Knowledge of Arabic is an advantage.
u2022Experience in relevant computer systems.
