Purpose of the Job:
To lead the end-to-end execution of a landmark JV transaction for the greenfield development of Terminal 4 (T4) at Jeddah Islamic Port. The role serves as the internal deal and integration lead, working closely with external advisors, legal counsel, and technical teams to deliver a commercially optimized and fully compliant transaction. Success requires strong stakeholder engagement and alignment across the Port Authority, JV partners, contractors, regulators, and internal teams. Beyond project management, the position demands exceptional stakeholder management, commercial judgment, and the ability to coordinate multiple interdependent workstreams. Ensure the project is delivered on time, within budget, and in compliance with all contractual, statutory, and operational requirements while maintaining trusted relationships with key stakeholders.
Area of Contribution
Transaction Management:
Manage the full lifecycle of the JV transaction from non-binding term sheet
through to financial close and implementation.
Lead coordination between internal departments (operations, commercial, legal
technical, finance), legal counsel, and external advisors.
Prepare and maintain deal issue logs, negotiation trackers, and key decision matrices.
Due Diligence:
Lead and oversee a comprehensive multi-track due diligence (DD) process, ensuring
structured review, issue resolution, and consolidated reporting:
Legal: Ensure complete data room upload, red flag logs, compliance mapping
against Mawani concession terms, and change-of-control consents
Finance, Tax and Valuation: Collaborate with corporate finance on the financial
model input pack (including debt scheduling, dividend profile, capital structure
overlays etc), and tax structuring assessments
Technical: Ensure technical adviser due diligence covers yard capacity constraints,
phasing plan, throughput bottlenecks, and berthing requirements.
Coordinate an UpToDate time phased capex plan for T4
Operational/Commercial: Map RSGT's internal operating structure vs T4
standalone operations and define required TSAs or shared services
Stakeholder Management & Project Governance:
Develop and execute a comprehensive stakeholder engagement plan, ensuring
transparent communication and alignment of interests across all parties.
Ensure coordination of critical governance topics across legal counsel,
accounting and tax advisors (for key aspects on consolidation treatment, equity
classification, tax structures etc)
Establish and maintain robust governance structures in line with concession
agreements and JV arrangements.
Oversee the legal setup of the JV and ensure compliance with concession terms.
Manage permits, licenses, and regulatory approvals required for project
execution, maintaining strong relationships with regulatory authorities.
Documentation Management & Control:
A. Technical Documentation
Maintain version control, review cycles, and tracking of all technical documents:
Master plan & design documentation
Berth and yard capacity analysis
Operational interface guidelines for T1T4 and spillover management
Drafts and final versions of the operations agreement
B. Transaction Documents
Own and maintain trackers for legal and commercial documentation including but
not limited to, sub-concession agreement, Shareholder agreement and JV Term
Sheet, Addenda to RSGT's master concession, Side letters / bilateral agreements,
Board resolutions, internal approvals, and IC memos
Insurance & Risk Management:
Assist in developing and implementing comprehensive insurance strategies for construction
and operational phases.
Identify, assess, and mitigate project risks across technical, financial, and legal
domains, communicating risk strategies to relevant stakeholders
Compliance & Reporting:
Ensure compliance with environmental, health & safety, and operational
standards.
Prepare and present progress reports to stakeholders, including the Port
Authority, JV partners, and other key parties.
Project Delivery:
Manage, through the PM-team, contractors, suppliers, and consultants to ensure timely and quality
delivery, maintaining open channels of communication and resolving conflicts
as needed.
Implement robust change management processes for scope variations and
unforeseen challenges, ensuring stakeholder buy-in for critical decisions.

Skills / Attribute:
Strong project leadership, stakeholder management, commercial acumen, analytical problem-solving, and the ability to manage complex multi-disciplinary workstreams with high precision and integrity.
Proven expertise in legal structuring, financing, and regulatory compliance for concession-based projects.
Good understanding of FIDIC contracts, marine construction, and port operations.
Required Experience:
15+ years of experience in large-scale infrastructure or port development projects. Experience in project managing a concession or M&A transaction
Education / Minimum Requirements:
Bachelor's degree in engineering, Project Management, Business Administration, or related field (master's preferred).
PMP or PRINCE2 certification is an advantage.
