Job Description

Job Purpose

  • Support all Dragon Oil Departments and in particular the Senior Management, Department Managers and other Dragon Oil personnel on all pre-dispute and dispute, projects and legal compliance matters impacting Dragon Oil's corporate interests and assets across Turkmenistan, Egypt and Iraq, in coordination with the other Legal & Compliance team members.

Job Responsibilities

  • Advise on and opine on all forms of contentious matters affecting Dragon Oil entities.
  • Independently manage a broad range of pre-dispute and dispute matters, including regulatory and administrative matters.
  • Handle some more complex and higher exposure cases with the assistance of General Counsel.
  • Where relevant, seek to place a binding settlement of contentious disputed matters with a view minimizing Dragon Oil's liabilities and on terms acceptable to Dragon Oil Executive Management/Board.
  • Where relevant, advising on any commencing claims against parties who breach contracts or default on their contractual obligations with Dragon Oil.
  • Engage and manage external counsel, including developing and negotiating capped fees/estimate fees, jointly developing litigation/arbitration strategy, and ensuring budget discipline.
  • Maintain and manage high quality record-keeping.
  • Interface with Legal colleagues regarding litigation risks impacting businesses they support; collaborate cross-functionally and communicate to provide appropriate messaging concerning litigation/arbitration matters or disputes that pose potentially high reputational risks.
  • Role model and enable culture of ethics, including intervening as warranted to ensure compliance with Dragon Oil Business Principles and Code of Conduct.
  • Post-dispute, advice on lessons learnt and assist in implementing new policies and procedures for business teams intended to avoid similar outcomes in the future and to mitigate similar risks.
  • Draft, negotiate and advise on Dragon Oil's all major contracts, POs and project-related documentation (pre- and post-award contract management).
  • Interface with Projects Departments to provide legal support and advice on the terms and conditions applicable to a wide range of oil and gas supply chain agreements for goods and services, project documentation (including EPIC, turnkey contracts).
  • Negotiate contract terms with suppliers and counterparties.
  • Support compliance, governance, M&A and corporate activities when required.

Education

  • Law Degree
  • Minimum 10 years legal experience including at least 5 years in Arbitration and/or Litigation, contract management and strong experience of Upstream Oil and Gas Matters.
