We are seeking an experienced Senior Legal Counsel to provide strategic legal support across corporate structuring, joint ventures, mergers & acquisitions and complex commercial transactions, with a strong focus on the real estate sector.
This is a senior-level role advising on high-value investments, partnerships, and corporate structures within a fast-paced and commercially driven environment.
Key Responsibilities
- Lead the structuring, drafting, and negotiation of joint venture agreements, shareholder agreements, and strategic partnership frameworks
- Advise on and manage real estate joint ventures, development structures, investment vehicles, and asset acquisitions/disposals
- Lead M&A transactions end-to-end, including term sheets, due diligence, SPAs, and post-completion integration
- Provide strategic legal advice on corporate structuring, governance, and board matters
- Draft and review corporate documentation including memoranda, articles of association, and shareholder resolutions
- Negotiate complex commercial agreements including NDAs, services, licensing, and supply contracts
- Identify, assess, and mitigate legal and transactional risks across investments and strategic initiatives
- Ensure compliance with corporate, commercial, and regulatory frameworks
- Liaise with regulators, authorities, external counsel, JV partners, and key stakeholders
- Develop legal templates, frameworks, and guidance to support business operations
Mandatory Requirements
- Bachelor's degree in Law (LLB or equivalent)
- Admission to practice law in a recognised jurisdiction
- 710 years post-qualification experience in corporate/commercial law
- Mandatory experience within the Real Estate OR Retail sector
- Strong track record drafting and negotiating shareholder agreements and joint venture structures
- Proven ability to lead complex M&A and restructuring transactions independently
- Strong commercial acumen with the ability to provide pragmatic, business-focused advice
Preferred
- LLM or postgraduate qualification in Corporate/Commercial Law
- Experience within an international law firm or established in-house legal team
- Exposure to UAE/GCC corporate and real estate regulations
