Position Overview:
EDECS is seeking a high-caliber Senior Legal Counsel – Investments & Infrastructure to lead the legal execution of investments, acquisitions, joint ventures, infrastructure projects, PPPs, and financing transactions.
The role requires an ambitious and commercially minded lawyer capable of drafting and negotiating complex documents, managing transactions, identifying material risks, and coordinating effectively with external counsel and internal teams.
The position will report directly to the Group Investments Director and work closely with the Chairman, finance, technical, operational, and corporate legal teams. The successful candidate will receive significant transaction exposure and the opportunity to develop into a senior legal leadership role within the Group.
Responsibilities:
1. Investments, M&A and Joint Ventures
- Lead legal workstreams for acquisitions, investments, joint ventures, disposals, and strategic partnerships.
- Draft and negotiate term sheets, Heads of Terms, SPAs, SHAs, subscription agreements, and JV agreements.
- Manage legal due diligence, data rooms, red-flag reports, closing checklists, and conditions precedent.
- Translate commercial arrangements into clear and executable legal documentation.
- Coordinate transaction execution with internal teams, counterparties, advisers, and external counsel.
2. Infrastructure Projects and PPPs
- Draft and review concession agreements, development agreements, PPPs, BOT, BOO, and DBFOM structures.
- Review project agreements, operator agreements, O&M agreements, technical services agreements, and direct agreements.
- Assess key risk allocations, including termination, step-in rights, guarantees, performance securities, change in law, and dispute resolution.
- Support projects from bidding and preferred-bidder stage through financial close, construction, and operations.
- Maintain clear legal risk and obligations registers for priority projects.
3. Corporate and Governance
- Draft and review shareholders agreements, constitutional documents, board and shareholder resolutions, PoAs, capital increases, and share transfers.
- Support the establishment and restructuring of subsidiaries, investment vehicles, joint ventures, and project companies.
- Assist in developing Investment Committee procedures, delegations of authority, signing policies, and conflict-of-interest controls.
- Maintain accurate corporate records, ownership structures, and transaction registers.
4. Banking and Finance
- Review and negotiate facility agreements, project-finance documents, intercompany loans, security packages, guarantees, and subordination agreements.
- Coordinate with lenders and external counsel on financing conditions and security-perfection requirements.
- Identify and clearly communicate financing obligations, restrictions, defaults, and enforcement risks.
5. Legal Execution and Risk Management
- Prepare structured markups, negotiation issue lists, risk summaries, and recommendations for senior management.
- Act as the day-to-day interface with international and local law firms on investment and infrastructure matters.
- Develop templates, clause banks, due diligence checklists, and comparison matrices for recurring transactions.
- Monitor legal deliverables, deadlines, approvals, costs, and closing requirements.
- Exercise independent legal judgment and escalate material legal, governance, and compliance risks.
Skills and Qualifications:
- Bachelor of Laws from a recognized university; an LLM or relevant postgraduate degree is a plus.
- A minimum of five years of high-quality post-qualification experience, preferably within a leading corporate law firm and/or transaction-focused in-house role.
- Strong experience in corporate transactions
- Demonstrated ability to draft and negotiate complex transaction documents.
- Strong legal research, analytical, and problem-solving capabilities.
- Commercial judgment and the ability to communicate complex legal risks clearly to senior management.
- Ability to independently manage multiple transactions and external advisers.
- Exposure to Egyptian corporate law and offshore or cross-border structures.
- High standards of integrity, discretion, ownership, and attention to detail.
