Senior Legal Counsel

Location: Dubai, UAE (DIFC)

We are supporting a confidential international group on the recruitment of a Senior Legal Counsel to be based in Dubai.

The role sits within the group's Private Equity division, where Real Estate is an important investment vertical, alongside other investment activities. The position offers exposure to cross-border investments, structuring, M&A and corporate governance in a multi-jurisdictional environment.

The Role

As Senior Legal Counsel, you will support the group's investment activities and act as a trusted legal advisor to senior stakeholders.

Key responsibilities include:

• Advising on private equity investments, including real estate transactions, acquisitions, disposals and restructurings
• Supporting fund and SPV structuring across multiple jurisdictions
• Drafting, reviewing and negotiating investment, corporate and commercial agreements, including SPAs, SHAs, JV and financing documents
• Advising on corporate governance matters and supporting board-related processes
• Coordinating and managing external legal counsel
• Providing practical, business-oriented legal advice in a cross-border context

The Profile

The ideal candidate will have:

• Significant experience in corporate, private equity or investment-related legal roles
• Strong exposure to cross-border transactions and structuring
• Experience with private equity investments, with real estate exposure as part of a broader investment scope
• Background in international law firms and/or in-house environments
• Solid understanding of Common Law (dual Common Law / Civil Law exposure is an advantage)
• Ability to operate autonomously in a complex, international environment
• Strong communication skills and ability to interact with senior stakeholders
• Fluent English (additional languages are an advantage)

Experience in or exposure to the Middle East or DIFC is an advantage but not a mandatory requirement.
