Job Overview
The Corporate & Commercial Legal role is responsible for providing comprehensive legal support across the organization, ensuring all business activities are conducted in compliance with UAE laws and internal policies. The position plays a critical role in managing commercial contracts, regulatory compliance, corporate governance, and dispute resolution, while proactively identifying and mitigating legal risks.
The role acts as a trusted legal advisor to internal stakeholders, supporting strategic and operational decision-making, coordinating with external counsel and regulatory authorities, and safeguarding the company's legal and commercial interests across multiple business functions.
Job Responsibilities:
Corporate & Commercial Legal
- Draft, review, negotiate, and manage a wide range of contracts including vendor agreements, service contracts, NDAs, MOUs, SLAs, and partnership agreements.
- Provide legal advisory support to business teams on commercial transactions and operational matters.
- Ensure contracts are compliant with UAE laws and company policies.
Regulatory & Compliance
- Ensure compliance with UAE federal and local laws, regulations, and industry standards.
- Monitor changes in laws and regulations impacting the business and proactively advise stakeholders.
- Support internal audits, compliance reviews, and regulatory filings where required.
Corporate Governance
- Support corporate secretarial matters including board resolutions, powers of attorney, shareholder documentation, and corporate filings.
- Coordinate with external authorities (DED, free zones, ministries) for company registrations, renewals, and amendments.
Litigation & Dispute Management
- Coordinate with external legal counsel on litigation, arbitration, and dispute resolution matters.
- Manage legal notices, claims, and responses, ensuring timely and effective handling.
- Maintain litigation trackers and provide regular updates to management.
Risk Management
- Identify legal risks and provide practical, business-focused mitigation strategies.
- Support internal stakeholders in understanding legal exposure and compliance requirements.
Stakeholder Management
- Act as a trusted legal advisor to internal teams including HR, Finance, Procurement, and Operations.
- Liaise with external lawyers, consultants, and government entities as required.
Qualifications & Experience
- Bachelor's Degree in Law (LLB); LLM is an added advantage.
- 68 years of relevant legal experience in the UAE.
- Strong knowledge of UAE commercial, corporate, labor, and regulatory laws.
- Prior experience in-house or with a reputed law firm is preferred.
- Experience working with multi-business or group structures is an advantage.
