About the Role

The Senior Legal Manager will be responsible for leading the Group's legal, regulatory, and corporate affairs function across traditional financial services, fintech, and digital asset businesses. The role requires a commercially focused legal professional with strong expertise in financial markets, licensing, cross-border regulatory frameworks, corporate structuring, dispute resolution, and legal risk management.

The successful candidate must possess a deep understanding of both traditional and digital asset business models, including brokerage, capital markets, fintech activities. The role will work closely with senior management to ensure that the Group's legal framework, commercial arrangements, and regulatory strategy are aligned with business objectives and applicable legal requirements across multiple jurisdictions.

Key Responsibilities

Legal Advisory & Commercial Support

• Provide strategic legal advice to senior management on corporate, commercial, regulatory, and operational matters.
• Act as a trusted legal advisor to business units across traditional finance, fintech, and digital asset businesses.
• Support business growth initiatives, new product launches, partnerships, and market expansion activities.

Legal Drafting & Contract Management

• Draft, negotiate, review, and maintain:
• Client Agreements
• Brokerage Agreements
• Liquidity Provider Agreements
• Service Agreements
• Consultancy Agreements
• Technology Agreements
• Employment Contracts
• Shareholder Agreements
• Joint Venture Agreements
• NDAs
• Corporate Resolutions
• Ensure legal documentation adequately protects the Group's interests and mitigates risk.

Regulatory & Licensing Advisory

• Lead regulatory licensing projects across multiple jurisdictions.
• Conduct regulatory analysis and provide guidance on licensing requirements for:
• Capital Markets
• Brokerage Activities
• Fintech Businesses
• Liaise with regulators, legal advisors, and external consultants.

Jurisdictional & Comparative Legal Research

• Conduct legal and regulatory research across multiple jurisdictions.
• Prepare comparative legal analyses and regulatory gap assessments.
• Assess regulatory developments affecting traditional finance, fintech, and digital asset businesses.

Corporate Structuring & Governance

• Advise on group structuring, corporate reorganizations, and governance frameworks.
• Ensure legal structures support operational, tax, regulatory, and strategic objectives.
• Support establishment of new entities and expansion into new jurisdictions.

Fintech, Technology & Intellectual Property

• Advise on fintech-related legal issues, including technology partnerships and digital business models.
• Support intellectual property protection strategies, including trademarks, copyrights, licensing rights, and proprietary technology arrangements.
• Review technology and software licensing agreements.

Financial Markets & Trading Infrastructure

• Maintain strong knowledge of:
• Equities
• Stocks and Shares
• Bonds
• Commodities
• CFDs
• Foreign Exchange (FX)
• Futures and Options
• Margin Trading
• Settlement Processes
• Understand operational and legal implications of trading platforms and market infrastructure.

Trading Platform Knowledge

• Possess working knowledge of:
• MetaTrader 5 (MT5)
• Iress Platform
• CQG Platform
• Digital Asset Trading Platforms
• Understand client lifecycle management, order execution, risk controls, and market conduct requirements.

Dispute Resolution & Litigation Management

• Manage disputes involving clients, vendors, employees, and business counterparties.
• Coordinate and oversee litigation matters with external counsel.
• Lead negotiation, settlement, mediation, and dispute resolution processes.
• Prepare legal assessments and recommendations for management.

Risk Management & Compliance Support

• Identify and mitigate legal, regulatory, operational, and reputational risks.
• Support compliance, risk, and governance initiatives across the Group.
• Review and update policies, procedures, and internal governance frameworks.

Qualifications & Experience

• Bachelor of Laws (LLB) or equivalent legal qualification.
• Minimum of 5 years of legal experience within the following sectors:
• Financial Services
• Capital Markets
• Brokerage Industry
• Fintech
• Experience managing regulatory licensing projects and regulatory engagements.
• Strong experience in commercial contract negotiation and legal drafting.
• Experience handling cross-border legal and regulatory matters.
