Dubai Holding is looking to hire a Senior Manager Business Affairs & Governance at Dubai Holding Investments. The job holder is responsible for managing governance, compliance, and company secretarial initiatives across the organization's portfolio. The role ensures robust governance frameworks, effective board and committee operations, and compliance with applicable regulatory and statutory requirements, while supporting the organization's strategic objectives through strong portfolio oversight and transaction support.

Key Accountabilities:

Strategic Governance Leadership

  • Lead the review, development, and continuous enhancement of governance documents including policies, charters, and manuals to ensure alignment with best practices, regulatory requirements, and organizational objectives.
  • Oversee governance processes across the portfolio, ensuring effective board and committee structures, clear decision-making authorities, and timely execution of governance actions.
  • Act as a trusted governance advisor to senior management and boards, providing guidance on governance matters, regulatory expectations, and good corporate practices.

Portfolio Management

  • Create and maintain a consolidated snapshot of the organization's portfolio, including boards, committees, and delegated authorities for each portfolio company.
  • Ensure investment and portfolio governance overviews are accurate and updated, facilitating informed decision-making.
  • Oversee the maintenance of governance trackers and ensure up-to-date governance records.
  • Establish a robust monitoring and reporting framework to track the performance of governance bodies across the portfolio.

Contract & Compliance Management

  • Oversee and implement a robust compliance framework, ensuring adherence to applicable laws, regulations, internal policies, and governance standards across jurisdictions.
  • Coordinate and monitor ongoing regulatory and statutory compliance obligations, including filings, disclosures, renewals, and reporting requirements.
  • Lead periodic compliance reviews and governance health checks, identifying gaps and driving remediation actions in collaboration with stakeholders.
  • Provide guidance on UK and US legal and regulatory considerations relevant to portfolio companies, transactions, and ongoing operations.
  • Embed ESG considerations into governance processes, templates, and reporting, in line with organizational priorities and stakeholder expectations.

Company Secretarial & Transaction Support

  • Provide strategic oversight of company secretarial activities across designated portfolio companies, ensuring compliance with statutory and governance requirements.
  • Oversee and support board and committee operations, including agendas, papers, resolutions, minutes, action tracking, and annual governance calendars.
  • Ensure the maintenance of statutory registers, constitutional documents, delegated authorities, and corporate records in accordance with applicable laws and best practices.
  • Act as a key point of contact for directors, shareholders, and external advisors on company secretarial and governance matters.

Audit & Assurance Management

  • Support the Executive Director on strategic governance initiatives and projects.
  • Coordinate governance-related inputs into internal and external audits, ensuring timely responses to findings and implementation of agreed actions.
  • Promote continuous improvement in governance and compliance practices based on audit outcomes, regulatory developments, and evolving best practices.

Who we are looking for:

  • Minimum 8 years of experience in a similar role.

Education/Professional Certification:

  • Bachelor's degree required
  • Legal background or company secretarial qualifications desirable

Technical Competencies:

  • Ability to develop and implement strategic governance initiatives.
  • Expertise in identifying and mitigating governance and compliance issues.
  • In-depth understanding of relevant regulations and compliance requirements.
  • Strong organizational skills and the ability to manage multiple projects simultaneously.
  • Excellent verbal and written communication skills with the ability to draft high-quality governance papers and engage effectively with senior stakeholders and regulators.
