To perform duties for ENEC Commercial Company's legal department, such as conducting a variety of research and analytical assignments, drafting legal and administrative documents, conducting reviews of relevant legislation, preparing reports and taking meeting notes to support the smooth running of the department and assigned committees.
Transactional and Operational Support
Responsibilities and Accountabilities:
Responsible for conducting legal and factual research and ensuring proper electronic and hard copy document management.
Coordinating management of legal document review processes with external parties and internal version control for document negotiation.
Proofreading and editing draft legal agreements, including management of inter-department inputs into agreement terms and appendices.
Responsible for drafting cover letters for submission to third party legal counsel and consultants.
Engaging with administrative staff and junior attorneys internally and at third parties to provide required information on and explanation of ENEC Commercial corporate information, policies and procedures to facilitate due diligence and process requirements.
Assisting in setting up project plans and monitoring and updating plans for the purpose of due diligence tasks, including reviewing materials and documents.
Accountable for setting up and managing legal checklists for major projects including negotiation of complex project agreements involving multiple parties.
Carrying out legal searches and obtaining laws using databases such as Westlaw, collating regulatory filings, submissions and reviewing results of searches to ensure that the legal database and research is up to date.
Attending meetings and preparing minutes of meeting/actions and following up on all relevant points of discussion.
Supporting legal counsel in collating comments received from external counterparties, assisting in carrying out amendments through into documents, and proof reading for quality assurance purposes.
Providing legal support at signings/closings and carrying out post-completion tasks and updating transaction briefing documents by summarizing transactions for effective follow up of legal procedures.
Responsible for coordinating with seconded consultants who support the project, by managing meetings, as well as preparing and drafting internal and external correspondence to support the smooth running of the department
Assisting in the preparation of legal contracts, deeds, leases, opinions and other legal papers of a routine nature for dealing with external legal agencies
Board of Directors
Responsibilities and Accountabilities:
Assisting in the preparation, assembly and distribution of Board materials prior to Board meetings.
Assist the Board Secretary in recording and preparing the Minutes of Meeting at Board meetings and capturing and following up with action items from Board meetings.
Claims Management
Responsibilities and Accountabilities:
Carrying out searches and collation of documents for claims management, and tagging of documents for relevance, issues and legal privilege.
Assisting legal Counsel in preparing case files and memoranda for briefing external legal consultants.
Management of litigation support databases and Claims ERoom.
Assisting legal counsel with management of external lawyers, claims consultants and experts.
Corporate Governance
Responsibilities and Accountabilities:
Acting as a key focal point for coordinating assigned committees meetings and supporting the secretary and members of those committees in preparing the agenda, meeting materials and minutes of meeting, including following up on actions items and liaising with the committee secretaries.

Assisting in drafting the legal department's policies and procedures to ensure that they are in line with ENEC Commercial guidelines.
Supporting the implementation of the legal department's policies and procedures and such other tasks as may be required to support achievement of department objectives.
Assisting in continuous development of standard templates and formats for legal documents.

Responsibilities and Accountabilities:
Facilitating communication both internally and externally in order to build and nurture mutually beneficial working relationships.
Education & Experience -
Bachelor's Degree in a relevant field.
3 years relevant experience.
Preferred -
Bachelor's degree in law.
More than 5 years experience.
