Job Description
Principal / Senior Principal, (Vice President/ Senior Vice President Level) Direct Investments (Acquisitions), reports directly to the Director of Direct Investments.

Role Purpose:
Serves as the senior execution lead within the Direct Investments team. The role requires substantial hands-on M&A transaction experience and a demonstrated track record of taking acquisitions from initial evaluation through due diligence, structuring, negotiation, signing, and closing.
The role owns transaction structuring, SPA/SHA negotiation support, and due diligence oversight across live deals. Operating within a lean, build-out-phase platform, the Principal is expected to run deal workstreams semi-autonomously, mentor junior team members, and ensure that every transaction meets Valmore's investment and governance standards. The role is critical to scaling the team's capacity from the current 2–3 simultaneous deals to 4+ as the pipeline grows.

Key Responsibilities:
1. Deal Execution Oversight
Lead hands-on, end-to-end M&A transaction execution on assigned deals, coordinating across internal teams, external advisors, and counterparties. Take ownership of the transaction process from initial evaluation and due diligence through transaction structuring, SPA negotiation, signing, satisfaction of conditions precedent, and closing. Ensure timelines, deliverables, and quality standards are met from LOI through closing.
2. Transaction Structuring
Design and negotiate deal structures including equity, debt, earn-outs, and shareholder arrangements. Prepare and review term sheets, SPAs, SHAs, and ancillary transaction documents in coordination with external legal counsel.
3. Due Diligence Management
Own the due diligence workstream: scope planning, vendor coordination, data room management, findings synthesis, and red-flag escalation. Ensure DD outputs feed directly into IC memos and deal recommendations.
4. Financial Analysis & Valuation
Oversee financial modelling (DCF, LBO, IRR, scenario analysis) produced by the Direct Investments team. Ensure assumptions are defensible and models tie to DD findings and market benchmarks.
5. Investment Committee Support
Prepare and present IC materials alongside the Director. Translate complex transaction dynamics into clear, decision-ready recommendations for the Group CIO and Investment Committee.
6. Stakeholder & Advisor Management
Serve as a senior point of contact with banks, legal advisors, technical consultants, and target management teams. Manage advisor mandates, fee negotiations, and engagement logistics.
7. Team Mentorship & Development
Mentor Senior Associates and Analysts on execution methodology, structuring best practices, and professional development. Provide day-to-day supervision on deal workstreams and review all junior deliverables.
8. Post-Closing Transition
Coordinate post-closing handover to the Investment Monitoring team, ensuring all closing obligations, CP schedules, and integration checklists are completed and documented.
Qualifications:
- 8–15 years of experience in investment banking (M&A), private equity, corporate development, or a similar transaction-focused investment environment, with significant hands-on experience executing acquisitions. Candidates must have a demonstrable track record of personally leading or materially contributing to the execution and closing of multiple M&A transactions, ideally in the $50M–$500M range.
- Direct, hands-on experience leading M&A due diligence processes, negotiating transaction documentation (including SPAs, SHAs and term sheets), managing transaction workstreams, and coordinating multi-advisor deal teams through signing and closing.
- Strong financial modelling skills (DCF, LBO, IRR, scenario/sensitivity analysis) with the ability to review, challenge, and refine models produced by junior team members.
- Experience working across MENA, Africa, or emerging markets preferred. Understanding of regional regulatory, legal, and commercial environments is a significant advantage.
- Ability to operate effectively in an early-stage, resource-lean environment — comfortable with ambiguity, limited infrastructure, and a high degree of personal accountability.
- Bachelor's degree in finance, Economics, Business, Engineering, or a related discipline. MBA, CFA, or equivalent professional qualification preferred.
Success Metrics — First 12 Months:
- Lead or co-lead 2–3 transactions from initial evaluation/LOI through closing within the first year, with all closing CPs met on schedule.
- Reduce Director-level involvement in routine execution tasks by at least 30%, enabling the Director to focus on origination and IC-level activities.
- Establish a repeatable due diligence playbook covering scope planning, vendor management, findings synthesis, and escalation protocols.
- Ensure all IC materials for assigned deals are submission-ready without rework — clear narrative, defensible assumptions, complete risk register.
- Successfully mentor at least two junior team members, with measurable improvement in modelling accuracy, memo quality, and deal-readiness.
Typical Profile:
- 8–15 years in investment banking (M&A), private equity, or corporate development, with at least 3–4 years in a hands-on, deal-execution-heavy role.
- Has personally led or co-led at least 5 closed M&A transactions, preferably including acquisitions in the $50M–$500M range; managed due diligence processes end-to-end; and negotiated or substantially participated in the negotiation of SPAs, SHAs and other key transaction documentation.
- Comfortable operating in emerging-market jurisdictions and managing multi-advisor deal teams.
- Has supervised junior analysts/associates on modelling and memo preparation.
