Job Description

Job Summary

Leads and oversees the governance and administrative operations of the Board, ensuring effective coordination of Board and committee activities, full compliance with governance frameworks and regulatory requirements, and strong alignment between the Board of Directors and executive management. The role enhances Board effectiveness through structured processes, high-quality documentation, and strategic governance support.

Main Responsibilities

  • Lead planning and execution of Board and committee meetings
  • Oversee preparation and quality review of agendas and Board packs
  • Ensure accurate recording of minutes, resolutions, and formal decisions
  • Monitor and follow up on implementation of Board resolutions and action items
  • Ensure compliance with governance frameworks and regulatory requirements
  • Maintain and safeguard confidential Board records and official documentation
  • Liaise between Board members, executive leadership, and external stakeholders
  • Support Board performance evaluations and annual governance reviews
  • Drive continuous improvement of Board processes and governance policies
  • Ensure timely statutory and regulatory submissions

Qualifications

  • Bachelor's degree in Business Administration, Law, Corporate Governance, or related field (Master's preferred)
  • 6 8 years of experience in board affairs, governance, or executive office roles
  • Strong knowledge of corporate governance practices and regulations
  • Proven experience managing senior stakeholders
  • Excellent documentation, communication, and organizational skills
  • High level of professionalism, discretion, and confidentiality
  • Strong leadership and team management capabilities
