The Board Secretary & Executive Director of Corporate Governance serves as a critical member of the leadership team, overseeing the governance framework of the organization and ensuring adherence to statutory regulations, ethical standards, and best practices in corporate governance. This role requires a strategic thinker with a robust understanding of corporate law, organizational structure, and board dynamics. The Executive Director will be responsible for facilitating effective decision-making processes at the board level, ensuring that meetings are conducted efficiently, minutes are accurately recorded, and that actions are followed up appropriately. Additionally, this role demands exceptional communication skills to liaise with board members, executives, and external stakeholders, promoting transparency and accountability throughout the governance process. Job Requirements:

  • A minimum of 15 years of extensive experience in corporate governance, legal advisory, or similar roles, with a progressive track record of leadership in a corporate setting.
  • Proven expertise in the principles and practices of corporate governance, risk management, and regulatory compliance.
  • Comprehensive understanding of the legal and regulatory framework governing corporate entities, with the ability to interpret and apply laws effectively.
  • Experience in overseeing board meetings, preparing agendas, and maintaining accurate records and documentation.
  • Demonstrated ability to build and maintain relationships with key stakeholders, including board members, executives, and regulators.
  • Strong analytical and strategic thinking skills, essential for evaluating organizational policies and governance structures.
  • Excellent project management capabilities, with a history of successfully leading corporate governance initiatives and improving practices.
  • Competence in working with diverse teams to foster a culture of integrity, transparency, and accountability.
  • Advanced communication skills, both written and verbal, including expertise in conveying complex information concisely to various audiences.

Job Responsibilities:

  • Lead the implementation and management of the organization's corporate governance framework, ensuring compliance with legal and regulatory requirements.
  • Coordinate and facilitate board and committee meetings, preparing agendas, distributing materials, and ensuring adherence to governance best practices.
  • Act as the primary liaison between the board of directors and executive management, ensuring clear communication on strategic decisions and organizational performance.
  • Draft, review, and maintain corporate governance documents, including the bylaws, charters, and governance policies, ensuring that they reflect current laws and best practices.
  • Monitor and assess emerging governance trends and ensure that the organization adapts to changes in the regulatory environment.
  • Develop training and educational programs for board members and executives regarding their roles, responsibilities, and effective governance practices.
  • Maintain an accurate record of board actions, resolutions, and minutes while following up on action items from board meetings to ensure timely execution.
  • Provide insights and recommendations to the board and management on governance-related matters, including risk assessment and mitigation strategies.
  • Facilitate the evaluation of board performance and effectiveness, implementing measures for improvement as necessary.
  • Champion a culture of ethics and compliance within the organization, promoting awareness and adherence to the organization's code of conduct and policies.
