Role Overview:
We are seeking an experienced Company Secretary to ensure the company's compliance with statutory and regulatory requirements while supporting the Board and senior management in maintaining high standards of corporate governance.
Key Responsibilities:
Corporate Governance & Board Support
- Organize and manage Board and Committee meetings (agenda, minutes, resolutions)
- Advise the Board on governance best practices and regulatory obligations
- Maintain statutory registers and corporate records
Regulatory & Compliance
- Ensure compliance with applicable laws, regulations, and internal policies
- Liaise with regulatory authorities (e.g., ADGM, DIFC, CBUAE as applicable)
- Manage filings, disclosures, and reporting requirements within deadlines
Secretarial Functions
- Draft and review resolutions, policies, and corporate documents
- Handle incorporation, licensing, and amendments to company structure
- Maintain company records, licenses, and legal documentation
Stakeholder Management
- Act as a point of contact between Board, management, and external stakeholders
- Coordinate with legal, compliance, and finance teams
Risk & Governance Advisory
- Support implementation of corporate governance frameworks
- Monitor compliance risks and recommend corrective actions
Qualification & Skills:
- Qualified Company Secretary / ICSA / equivalent certification
- 5+ years of relevant experience in corporate secretarial or governance roles
- Strong knowledge of corporate laws and regulatory frameworks
- Excellent communication, drafting, and organizational skills
- High level of integrity and attention to detail
Preferred Experience:
- Experience in financial services / fintech / regulated environments
- Familiarity with ADGM, DIFC, or UAE regulatory frameworks
