The client is an international construction firm headquartered in Dubai, UAE.

Your new role

They're looking for an experienced, well-organised and detail-orientated individual to assume the role of Company Secretary who will be part of the centralized legal department, that sits in the Dubai office.

Responsibilities

In this role, you will be reporting to the GC and will be responsible for the Company Secretarial function and will be collaborating closely with internal and external stakeholders. Their primary focus will be to ensure proper corporate governance and company secretarial administration for all group companies, including the listed companies.

  • Uphold high standards of corporate governance across the Group by staying informed of relevant legislative, regulatory, and governance developments, and briefing the Board on matters impacting the Group and its stakeholders.
  • Provide comprehensive support to Directors in fulfilling their duties and assist with the induction and ongoing training of Board members.
  • Develop and maintain strong working relationships with external stakeholders, including company secretarial agents, specialist professional service providers, shareholders, commercial organizations, and institutional bodies.
  • Organize meetings of the Board of Directors and its Committees, ensuring orderly conduct and adherence to approved agendas.
  • Attend Board and Committee meetings, prepare accurate minutes, and circulate them in a timely manner, including filing resolutions with relevant authorities.
  • Address shareholder queries and concerns while fostering positive and transparent shareholder relations.
  • Arrange and coordinate AGMs and EGMs in accordance with applicable legal and regulatory requirements.
  • Coordinate with internal and external stakeholders to monitor and follow up on the implementation of Board and Committee resolutions.
  • Maintain strong relationships with regulatory bodies and ensure compliance with disclosure requirements of DIFC, DFSA, Nasdaq Dubai, and other applicable laws and regulations governing Group companies.
  • Administer a portfolio of Group companies, ensuring compliance with statutory reporting obligations, regulatory timelines, and corporate governance requirements across all jurisdictions.
  • Oversee the creation, maintenance, and secure retention of statutory registers, corporate records, and other required documentation for all Group companies.
  • Ensure compliance with country‑specific corporate enactments, statutory filing requirements, and corporate governance frameworks, including the preparation and updating of governance policies and procedures.
  • Monitor and report on the Group's adherence to corporate governance principles and best practices.
  • Prepare the annual corporate governance report and other governance‑related documents and submissions for Group companies.
  • Continuously review developments in corporate governance regulations and ensure the Group's ongoing compliance.
  • Support and manage ad‑hoc projects and transactions, including major structural changes within the Group.

What you'll need to succeed

  • Chartered Secretary (CGI UK or equivalent) with extensive Company Secretarial and Corporate Governance experience and preference for candidates who are UK‑qualified Company Secretaries.
  • Minimum 5 years experience in a Company Secretary role, ideally within a listed company.
  • Strong understanding of UAE and KSA legislative requirements, regulatory frameworks, and corporate governance policies.
  • Commercial awareness with the ability to integrate governance considerations into strategic decision‑making and collaborate effectively across the organisation.
  • Exceptional communication and stakeholder‑management skills.
  • Excellent English and Arabic language skills (mandatory).
