Job Description

We are assisting a leading tier law firm based in Cairo with their recruitment of a lawyer at the senior Associate Level within Corporate. As a Senior Associate within our Corporate and M&A practice, you will lead high-value, complex transactions for a portfolio of prestigious domestic and international clients. You will be responsible for the full lifecycle of M&A mandates, including cross-border deals, joint ventures, and strategic restructurings, while mentoring a team of junior associates.

Key Responsibilities

  • Transaction Leadership: Lead and manage multi-jurisdictional M&A transactions from inception to completion, including deal structuring and managing various workstreams.
  • Drafting & Negotiation: Draft, review, and negotiate complex agreements such as Share Purchase Agreements (SPAs), Shareholders Agreements (SHAs), and Joint Venture (JV) agreements in both English and Arabic.
  • Client Management: Serve as the primary point of contact for organizational leaders, providing commercially pragmatic advice on Egyptian corporate law and regulatory matters.
  • Team Supervision: Delegate assignments to junior associates, providing mentorship and ensuring the highest quality of work product.
  • Due Diligence: Oversee comprehensive legal due diligence processes to identify and mitigate risks for buyers and sellers.
  • Regulatory Compliance: Ensure all transactions and client operations comply with GAFI procedures, securities regulations, and local investment laws.

Qualifications & Experience

  • Education: Bachelor's degree in Law (LLB) from an accredited university; completion of the English Section is highly preferred.
  • Experience: 510 years of post-qualification experience (PQE) in corporate/M&A law, ideally within a top-tier or international law firm.
  • Professional Credentials: Active member of the Egyptian Bar Association; additional international qualifications (e.g., LLM or Commonwealth qualification) are an advantage.
  • Languages: Full professional fluency in both written and spoken Arabic and English is essential.

Technical Skills & Competencies

  • Expert command of Egyptian corporate law, foreign direct investment rules, and competition/antitrust considerations.
  • Proven ability to handle multiple complex matters simultaneously under tight deadlines.
  • Exceptional analytical, problem-solving, and communication skills.
  • Strong business-oriented mindset with the ability to offer proactive, forward-thinking legal advice.
