About the Company

Our client is a leading Abu Dhabi-based investment and development platform focused on strategic investments, infrastructure, transport, mobility and large-scale development initiatives across the region.

About the Role

As part of its continued growth, the organisation is seeking to appoint a high-calibre Director – Corporate M&A to lead and support strategic acquisitions, investment analysis and transaction execution activities across the platform. This is a senior corporate M&A position working closely with investment leadership, finance, corporate strategy and executive management. The successful candidate will play a leading role in evaluating and executing acquisitions, investments, strategic partnerships and broader corporate finance initiatives across the group. While experience within infrastructure, project finance or real assets would be advantageous, it is not essential. The core requirement is strong corporate M&A capability, well-developed commercial judgement and substantial transaction execution experience.

Responsibilities

  • Lead and support the execution of corporate M&A and strategic investment transactions
  • Evaluate acquisition opportunities, strategic partnerships and corporate investments
  • Lead detailed financial and commercial analysis, including:
  • EBITDA analysis
  • Free cash-flow analysis
  • Return and yield assessments
  • LBO-style investment analysis
  • Investment performance evaluation
  • Assess long-term value creation, commercial viability and investment return scenarios
  • Analyse transaction comparables, industry metrics and market opportunities
  • Lead and coordinate financial, commercial and operational due diligence workstreams
  • Support transaction structuring and commercial negotiations
  • Prepare and present investment committee papers, board materials and strategic recommendations
  • Coordinate with external advisors, including investment banks, consultants, accountants and legal counsel
  • Provide commercially focused advice and recommendations to senior leadership
  • Work closely with finance, investment and strategy teams across the platform
  • Support the continued development of the organisation's corporate M&A capability
  • Mentor and provide direction to junior members of the investment and transaction team

Qualifications

The ideal candidate will bring a strong corporate M&A background combined with excellent commercial judgement and strategic financial analysis experience. Relevant backgrounds may include:

  • Big Four Corporate Finance or Deals Advisory
  • Investment Banking
  • Corporate Development
  • Private Equity
  • Transaction Services or Lead Advisory
  • Strategic Finance or M&A teams within large corporate organisations

**Infrastructure experience is a prerequisite.**

Required Skills

  • Approximately 10–18+ years of relevant professional experience
  • Substantial experience within one or more of the following:
  • Corporate M&A
  • Corporate Finance
  • Investment Banking
  • Transaction Advisory
  • Corporate Development
  • Private Equity
  • Demonstrable experience leading or playing a senior role in complex transactions
  • Strong commercial and strategic analytical capability
  • Advanced financial analysis and modelling skills
  • Strong understanding of:
  • EBITDA
  • Cash-flow analysis
  • Free cash-flow generation
  • Investment return metrics
  • Transaction structuring
  • Valuation and comparable-company analysis
  • Experience managing due diligence and transaction execution processes
  • Experience preparing and presenting investment materials to boards, investment committees and senior executives
  • Strong communication, negotiation and stakeholder-management skills
  • Ability to engage credibly with senior leadership, shareholders and external advisors
  • Experience managing or mentoring junior transaction professionals

Preferred Skills

  • The following would be advantageous but are not essential:
  • Infrastructure investment exposure
  • PPP or concession experience
  • Project finance understanding
  • Transport or mobility sector experience
  • Real assets or long-term investment environments
  • Experience working within the GCC or wider Middle East

Pay range and compensation package

An attractive Director-level compensation package will be offered, subject to the successful candidate's experience and existing remuneration. The wider package is expected to include:
