Position Overview

Have you ever wanted to play a pivotal role in taking a business through a major transformation and onto the public markets

Our client, a leading organisation within the mobility and leasing sector, is entering a critical phase of growth and regulatory maturity. They are seeking a Governance Manager to lead and strengthen their governance, legal, risk, and compliance framework, while playing a central role in preparing the business for a capital market listing.

This is a highly visible leadership position, reporting directly to the CEO, with ownership over governance strategy, board operations, and regulatory alignment across the organisation.

You will:

• Lead and shape governance, risk, compliance, and legal functions across the business, giving you full ownership of a critical corporate pillar

• Play a key role in IPO readiness, working closely with legal and financial advisors on listing requirements and due diligence processes

• Act as a trusted advisor to senior leadership and the Board, managing board secretariat activities and influencing senior level decision making

The position will challenge your ability to navigate complex regulatory environments, manage senior stakeholders, and build scalable governance frameworks in a fast evolving business.

Requirements

Given the scope and strategic importance of this role, we are only able to consider candidates who meet the following:

• 8 to 12 years experience in governance, legal, risk, or compliance roles

• Strong knowledge of corporate governance frameworks, Saudi regulations, and capital market requirements

• Experience supporting IPO readiness, regulatory submissions, or working with capital market authorities

• Background in legal affairs, including contract review and advisory across commercial matters

• Bachelor's degree in Law or a related field, with a Master's and relevant certifications such as CME 1B or disclosure certifications considered advantageous
