Role Overview
The Director Legal, Risk & Compliance will lead and manage the Legal, Compliance, and Enterprise Risk Management (ERM) functions in the company. This role ensures robust legal frameworks, regulatory compliance, governance standards, and risk management processes aligned with the Board's risk appetite and applicable laws and regulations.
Key Responsibilities
1. Legal Advisory & Corporate Governance
- Advise the Board of Directors, CEO, management, and business units on legal rights, obligations, and risks related to business operations, transactions, mergers, acquisitions, litigation, and disputes.
- Lead the review, drafting, and negotiation of commercial and corporate agreements, policies, and guidelines.
- Manage litigation, disputes, and external legal counsel as required.
- Ensure all projects, initiatives, and business activities are legally compliant.
2. Compliance & Regulatory Oversight
- Ensure full compliance with applicable laws, regulations, and corporate governance best practices.
- Oversee compliance with regulatory requirements related to SCA, DFM, and other UAE government and regulatory bodies.
- Lead and enforce the Company's SOPP, including investigation panels and management execution reviews.
- Periodically review and update SOPP in coordination with department heads and propose improvements where necessary.
3. Legal Interpretation & Case Management
- Interpret laws, rulings, and regulations relevant to business activities.
- Analyze legal risks and probable outcomes of cases using legal precedents.
- Develop legal strategies, arguments, and documentation for litigation and dispute resolution.
- Conduct legal studies and provide clear, practical legal opinions to stakeholders.
4. Risk Management & ERM
- Lead the Enterprise Risk Management function in line with Board-approved risk appetite.
- Prepare, review, and update risk governance documents, securing necessary Board approvals.
- Manage and support risk champions across departments through training and guidance.
- Report risk assessments and findings periodically to the CEO and Board.
- Ensure all risk-related reports comply with ERM policies and best practices.
5. Team Leadership & Development
- Lead, mentor, coach, and develop the Legal, Risk & Compliance team.
- Drive continuous improvement and problem-solving within the legal function.
- Ensure optimal utilization of team capabilities and resources.
- Implement performance management processes for direct reports (PDR).
- Oversee recruitment, onboarding, and, where necessary, termination recommendations in coordination with HR.
