Job Description

Job Purpose:

The Junior Legal Counsel will support the Deputy General Counsel, the Senior Legal Counsels and the wider LegalDepartment by providing high-quality legal assistance across the organization. The role involves ensuring legal andregulatory compliance, conducting thorough legal research, preparing and reviewing legal documents, and supporting theday-to-day management of legal affairs. At the junior level, work will be carried out under the guidance and supervisionof the senior legal counsels, with opportunities for growth, development, and increased responsibility over time.

Core tasks, Responsibilities and Authority:


Legal Drafting and Review

  • Assist in drafting, reviewing, and revising a widerange of legal documents, including contracts, agreements, memoranda, notices, policies, and legal correspondence.
  • Ensure accuracy, consistency, compliance with applicable UAE laws and regulations, and adherence to internal policies.
  • Support the negotiation process by preparing contract mark-ups and summarizing key risks for internal stakeholders.

Legal research and Analysis

  • Conduct legal research on UAE laws, regulations, and industry-specific requirements.
  • Prepare legal opinions, research notes and briefing papers on assigned matters,
  • Monitor relevant legal and regulatory
  • developments affecting the organization and flag updates proactively.

Compliance and Governance Support

  • Assist inimplementing corporate governance frameworks, internal policies, and compliance procedures.
  • Support the preparationand maintenance of corporate records, including resolutions, licenses, registers, and filings.
  • Coordinate withexternal counsel, regulatory authorities, and government entities as required.

Transactional and Operational Support

  • Support the senior legal counsels on corporate transactions, including due diligence, document compilation, contractmanagement, and internal coordination.
  • Track key contractual obligations, renewal dates, deliverables, and legaldeadlines to ensure timely follow-up.
  • Assist in handling disputes and claims, including gathering documents,
  • performing factual analysis, and liaising with external legal advisors.

Documentation and Record Management

  • Contribute to the organization, maintenance, and archiving of legal files, templates, and databases.
  • Ensure legaldocumentation is maintained in a systematic, secure, and easily retrievable manner.
  • Confidentiality and ProfessionalConduct
  • Maintain strict confidentiality regarding sensitive information.
  • Uphold the organization's ethical standardsand ensure legal matters are handled with professionalism and discretion.

Key Competencies and Qualifications:

  • Bachelor's degree in law (or related field) from a recognized university.
  • Bar admission/legal professionalqualification.
  • Strong knowledge of UAE laws, regulations, and industry-relevant legal requirements.
  • Excellent legalresearch, analytical, and problem-solving skills. Proficiency in drafting and reviewing contracts, legal opinions, andformal correspondence.
  • High attention to detail with strong organisational and time-management abilities.
  • Excellentwritten and verbal communication skills in English; proficiency in Arabic is an advantage.
  • Ability to work bothindependently and collaboratively in a fast-paced environment.
  • Strong ethical standards and the ability to handle confidential information with discretion.
  • Ability to prioritise tasks, manage deadlines, and support multiple stakeholders effectively.

Experience:

  • 2-4 years of post-qualification legal experience, preferably within the UAE.
  • Prior experience as a legal intern, trainee lawyer, or junior legal counsel at a reputable law firm or in a corporate legal department in the UAE is highly preferred.
  • Exposure to contract drafting, legal research, or regulatory compliance work is an advantage.
  • Experience interacting with government authorities in the UAE (e.g., DED, ADGM, freezones) is a plus but not mandatory.
