About the Role
The Legal Counsel provides day-to-day legal support to ZOI. The role supports commercial contract drafting and review, legal advisory matters, monitoring legal developments, coordinating with external counsel, and assisting in policy, governance, and compliance matters.
Responsibilities
- Support the daily operation and monitoring of the Cygnet OSS Platform.
- Review, draft, and support negotiation of commercial agreements, NDAs, service agreements, vendor contracts, customer contracts, partnership agreements, and other legal documentation.
- Provide day-to-day legal advice to internal stakeholders on contractual, commercial, and operational matters.
- Support the business in identifying legal risks and recommending practical mitigation actions.
- Ensure legal documents are clear, commercially balanced, and aligned with company interests.
- Monitor legal and regulatory developments and assess their potential impact on ZOI
- Provide updates and legal summaries on new laws, regulations, compliance obligations, or legal changes affecting the business.
- Liaise with external law firms and legal advisors on specialized legal matters, legal opinions, disputes, and litigation support.
- Coordinate legal documentation, internal inputs, and follow-ups required for external legal support.
- Assist in tracking legal cases, claims, or disputes and maintaining appropriate records and updates.
- Draft, review, and update internal policies, procedures, legal notices, and governance-related documentation.
- Support governance and legal documentation where needed, including legal aspects of corporate and subsidiary matters.
- Work closely with internal stakeholders across business, commercial, finance, HR, operations, and corporate functions to provide timely legal support.
- Support the Senior Legal Counsel & Company Secretary in legal coordination across markets.
- Ensure legal documentation is properly archived, version-controlled, and accessible where appropriate.
Qualifications
Bachelor's Degree in Law (LLB) or equivalent legal qualification is required.
Experience
- 35 years of relevant legal experience in a law firm and/or in-house legal environment.
- Experience in commercial contract drafting and review, legal advisory support, and legal research / regulatory monitoring is required.
- Prior exposure to Saudi commercial law and practical familiarity with the Saudi legal environment is strongly preferred.
Knowledge / Technical Skills
- Strong knowledge of commercial contract drafting and review
- Understanding of commercial law and relevant legal frameworks
- Ability to interpret and summarize legal and regulatory changes
- Legal risk identification and practical issue spotting
- Strong legal research and analytical skills
- Ability to provide clear, business-oriented legal advice
- Strong written legal drafting skills in English and Arabic
- Strong document management and legal administration discipline
- Knowledge of telecom / telecom regulations / data center legal matters
