Overview Of The Role
Oversee all legal, governance, and compliance activities across
Axis and its branches. Ensure full alignment with
CBE and other regulatory frameworks while supporting Axis's expansion, partnerships, and licensing requirements.
What You'll Be Doing
- Ensure Axis branches compliance with local and international regulations.
- Oversee corporate governance and ensure BoD and shareholder actions comply with internal policies.
- Manage filings and correspondence with MCDR.
- Coordinate and document BoDs, OGMs, and EGMs (agendas, minutes, resolutions, filings).
- Prepare and submit FDI Reports in line with legal obligations.
- Maintain and archive constitutional documents and corporate records.
- Draft, review, and negotiate partnership and commercial agreements supporting Axis operations.
- Handle trademark registration, renewal, and follow-up.
- Assist cross-functional leaders (Product, Ops, Compliance) on licensing and regulatory activities.
- Liaise with CBE and other authorities on regulatory matters; ensure adherence to payment regulations.
- Coordinate with external counsel on advisory, litigation, and contract matters.
- Support internal policy compliance and periodic audits/reviews.
Requirements
- Bachelor's degree in Law (Master's degree or international legal qualification is a plus).
- 8+ years of experience in corporate governance, commercial law, or fintech/payments regulatory compliance.
- Strong understanding of CBE regulations and the Egyptian legal framework for payment companies.
- Proven experience in drafting/reviewing international commercial agreements.
- Previous work with external counsel, government authorities, and regulators (CBE experience or network is highly desirable).
- Excellent command of Arabic and English (written & spoken).
- Exceptional attention to detail, strong negotiation skills, and ability to balance risk with commercial objectives.
