M&A:
Key Responsibilities:
1.Transaction Sourcing & Evaluation:
- Assist in identifying, sourcing, and evaluating M&A opportunities that align with the company's strategic objectives.
- Conduct market research and financial analysis to assess potential targets and assess fit with the company's growth strategy.
- Lead preliminary discussions with target companies and build relationships with potential acquisition targets.
2.Financial Analysis & Modeling:
- Develop and analyze detailed financial models, including valuations, projections, and sensitivity analyses.
- Perform due diligence, financial due diligence reviews, and risk assessments.
- Evaluate the financial health, operations, and competitive positioning of potential targets.
3.Due Diligence:
- Coordinate and manage the due diligence process, ensuring that all relevant information is collected and thoroughly analyzed.
- Work with cross-functional teams (legal, tax, operations, IT, HR) to evaluate potential risks, liabilities, and synergies.
- Prepare and present findings from due diligence to senior management and other stakeholders.
4.Deal Structuring & Negotiation:
- Assist in structuring deals, including terms, pricing, and key deal terms, to ensure alignment with business strategy.
- Play a key role in negotiating key aspects of transactions, including pricing, terms, and conditions.
- Collaborate with legal and other internal teams to finalize the deal structure and prepare necessary documentation.
5.Integration Planning & Post-Transaction Support:
- Support the development of integration plans post-transaction to ensure successful merger or acquisition implementation.
- Assist in coordinating the integration process, monitoring key milestones, and ensuring alignment with business goals.
- Identify and manage synergies between the acquired business and the company's existing operations.
6.Stakeholder Management:
- Communicate with internal and external stakeholders regarding M&A activities and provide regular updates on progress.
- Work with senior management to define M&A strategy and ensure that transactions support corporate objectives.
- Coordinate with external advisors, including investment banks, consultants, and legal advisors, to ensure smooth execution of deals.
7.Strategic Advisory:
- Provide strategic advice to senior leadership regarding M&A opportunities, risks, and market trends.
- Develop insights into industry trends, competitive landscape, and potential disruptors to identify new opportunities for growth.
8.Reporting & Documentation:
- Prepare and present detailed reports and presentations for senior management, the board of directors, and other stakeholders.
- Assist in the preparation of financial models, presentation decks, and other relevant documents for board meetings and investor communications.
Experience:
- 7 - 9 years of experience in M&A, investment banking, private equity, or corporate development, ideally within a multinational corporation.
- Strong experience in financial modeling, valuations, and due diligence.
- Exposure to structuring and negotiating M&A deals is preferred.
