Responsibilities

You will lead the legal workstream for DataVolt's global data center development program, from early-stage structuring and project development through EPC contracting, project finance, commercialization and operations.

  • Act as lead lawyer on strategic data center projects globally, from early development through construction and operation.
  • Structure, draft and negotiate all key project and delivery contracts, including (as relevant) EPC / EPCM / design-build contracts, long-lead equipment supply agreements, O&M agreements, master services agreements (MSAs), colocation / GPUaaS contracts, connectivity and cooling arrangements, and land / real estate documentation.
  • Support and, where required, lead on project finance and structured financing arrangements, working closely with lenders, investors and financial advisers to deliver bankable structures and documentation
  • Support corporate development initiatives (e.g. acquisitions, disposals, platform investments) from term sheet through closing.
  • Draft, review and negotiate complex commercial contracts, including customer agreements, service level agreements, hyperscaler / enterprise contracts, vendor and EPC contracts, and framework / master agreements.
  • Develop and maintain playbooks, fallback positions and standard form templates for key project, EPC and commercial contracts to drive consistency, speed and quality across regions.
  • Ensure that all project documentation appropriately allocates and mitigates construction, performance, availability, technology, and regulatory risks.
  • Identify and manage legal and regulatory issues relating to project development, permitting, land, environmental and planning, as well as data center-specific regulations, data protection and cross-border data considerations (in coordination with specialist colleagues where appropriate).
  • Advise on corporate governance structures for project companies and JV entities, ensuring compliance with applicable laws, regulations and internal policies.

Experience & Qualifications

  • Master's degree in Law
  • Admission to practice law in at least one major common law or civil law jurisdiction.
  • Minimum 8 years of post-qualification experience in a leading law firm and/or in-house role, with a strong emphasis on: Project Development and Project Finance for infrastructure, energy, data centre's
  • Proven track record of leading complex, cross-border project and financing transactions from term sheet to closing.
  • Experience working on data center, digital infrastructure or telecoms facilities is a strong advantage.
  • Demonstrated experience managing external counsel and leading multidisciplinary deal teams.
  • Prior experience mentoring or managing junior lawyers and contributing to team strategy, with clear potential to step into leadership roles.
  • Strong capability to translate technical and commercial concepts into robust legal terms, and to calibrate risk allocation in line with market standards and DataVolt's strategy.
  • Deep understanding of Project contracts (GTCs/Colo agreements/offtake contracts/EPCM/O&M, MSAs, connectivity, cooling & power related agreements.
