Senior Counsel

Role Overview
As a Senior Counsel, you will be part of the Omnissa Public Sector legal team and aligned with our efforts in public procurement and business development, ensuring that our sales activities comply with applicable procurement laws and support our business operations in the Kingdom of Saudi Arabia (KSA).The Senior Counsel will also focus on KSA public sector and sovereign wealth fund engagements, including the Public Investment Fund (PIF) and affiliated entities. This role will provide legal counsel during contract negotiations, ensure compliance with government regulations, and build trusted partnerships with KSA public sector clients and stakeholders. The Senior Counsel will also have an indirect reporting relationship to Omnissa's Global Compliance organization and will play a critical part in identifying, managing, and mitigating anticorruption and ethics risks, including those arising under the local laws and regulations, the U.S. Foreign Corrupt Practices Act (FCPA), UK Bribery Act, and other applicable global antibribery and public integrity laws.
Responsibilities Include
Legal Responsibilities
- Provide legal counsel on public procurement, commercial matters, government compliance, and strategic contracting opportunities in the Kingdom of Saudi Arabia (KSA).
- Negotiate, draft, and support the closing of sales contracts with KSA public sector and commercial customers.
- Ensure compliance with KSA procurement laws, regulations, and other applicable legal requirements.
- Build and maintain strong relationships with key government stakeholders to support negotiations, compliance, and strategic engagements.
- Support the development and implementation of organizational policies and procedures related to KSA public sector sales and compliance.
Compliance Leadership
- Serve as the primary compliance lead for Omnissa's operations in Saudi Arabia across public sector and commercial engagements.
- Design, implement, and continually improve compliance policies, internal controls, training, communications, and controltesting processes.
- Work collaboratively with global legal and compliance teams to ensure the KSA compliance program aligns with Omnissa's global standards and is appropriately tailored for local requirements.
- Provide realtime compliance guidance to legal, sales, business operations, and other internal stakeholders.
- Advise on compliance risks related to sovereign wealth funds, ministries, agencies, and stateowned or statecontrolled entities, as well as risks associated with public procurement, tenders, and strategic partnerships.
Risk Management & Due Diligence
- Conduct and oversee riskbased due diligence on third parties, agents, consultants, and partners.
- Review and assess transactions involving gifts, hospitality, travel, sponsorships, donations, conflicts of interest, and incentives.
- Identify and escalate potential compliance red flags and help ensure appropriate mitigation or remediation actions.
- Support internal and external audit activities to advance Omnissa's strategic objectives.
- Work collaboratively to develop and deliver compliance training programs for internal stakeholders.
What will you bring to Omnissa
- Bachelor's degree in Law or Shari'ah (or equivalent qualification recognized in Saudi Arabia)
- Valid license to practice law issued by the Saudi Ministry of Justice.
- Minimum 58 years of experience in Legal, Compliance, Regulatory, or Ethics and risk management roles.
- Experience supporting or advising public sector or sovereign linked transactions.
- Familiarity with KSA public procurement policies, processes, procedures, and contracting laws.
- Demonstrated experience with FCPA and global anticorruption compliance in high risk or emerging markets.
- Familiarity with PIF structures, government tendering processes, or public sector commercial models.
- Strong understanding of third party risk management frameworks.
- Excellent judgment, discretion, and ability to operate in sensitive environments.
- Prior experience working in or covering Saudi Arabia.
- Experience in multinational organizations.
- Fluency in Arabic and English (both written and verbal).
