Job Description

Job Purpose:

The Investor Relations Specialist will serve as a key liaison between the company, its investors, regulatory authorities, and financial intermediaries. The role involves preparing and managing regulatory filings across a group of companies, supporting corporate restructuring activities, and maintaining strong relationships with custodians, brokers, and other stakeholders.

Key Responsibilities:

1. Regulatory Filings & Compliance

Prepare, review, and submit regulatory filings and disclosures in accordance with governmental authorities such as MCDR, EGX and internal corporate governance requirements.

Ensure timely and accurate completion of filings related to share capital changes

Maintain compliance calendars and monitor deadlines for all regulatory submissions across the group.

Coordinate with internal and external stakeholders to maintain up-to-date corporate information.

2. Corporate Restructuring Support

Assist in the execution of corporate restructuring initiatives (mergers, acquisitions, divestitures, or capital reorganizations).

Coordinate with external advisors, auditors, and legal counsel to facilitate smooth restructuring processes.

Prepare investor and stakeholder communications related to restructuring activities.

Track and document the impact of structural changes on shareholding patterns, regulatory obligations, and reporting requirements.

3. Investor & Stakeholder Communication

Act as a point of contact for shareholders, custodians, and brokers on operational and administrative matters.

Provide accurate and timely responses to investor queries and requests.

Support the preparation of investor presentations, shareholder circulars, annual reports, and market announcements.

Maintain a database of investor holdings and ensure proper documentation of all relevant correspondence.

4. Financial Custody & Brokerage Coordination

Liaise with custodians and brokers to reconcile transaction charges, custody fees, and other related expenses.

Monitor and validate fee structures to ensure accuracy and compliance with service agreements.

Assist with the setup and maintenance of brokerage and custody accounts for the group's entities.

Support internal finance teams in resolving discrepancies and preparing cost analyses for management review.

5. Reporting & Data Management

Maintain detailed records of filings, transactions, and investor communications.

Prepare periodic reports on investor engagement activities and compliance status.

Support the preparation of board reports and management updates regarding investor relations activities.

Qualifications:

Education: Bachelor's degree in Finance, Business Administration, Economics, Accounting, or Law.

Experience:

36 years of experience in investor relations, corporate compliance, company secretarial, or capital markets functions.

Previous experience in a listed company or financial institution is highly desirable.

Exposure to group-level corporate structures and regulatory reporting processes preferred.

Strong understanding of securities market regulations, disclosure requirements, and corporate governance standards.

Familiarity with stock exchange platforms, regulatory filing systems, and investor communication tools.

Financial literacy with the ability to interpret corporate and shareholder data.
