About the Opportunity:
A leading international practice is continuing to expand and strengthen its presence in the UAE. As part of this growth, they are seeking to hire a talented Capital Markets Associate to join their high-performing team.
The Role:
This is an exciting opportunity for a mid-level associate to work on a broad range of high-profile, cross-border capital markets transactions. The successful candidate will play a key role in advising issuers, underwriters, and financial institutions on complex equity capital markets deals, particularly those involving international offerings into the US market. You will be part of a collaborative team working on sophisticated matters across the Middle East and beyond.
Key Responsibilities:
- Advising on equity capital markets transactions, including IPOs, rights issues, and secondary offerings
- Leading and supporting on Rule 144A / Regulation S offerings and SEC-registered deals
- Drafting and reviewing offering memoranda, registration statements, and transaction documentation
- Managing due diligence processes and coordinating with internal and external stakeholders
- Liaising with regulators, exchanges, and legal counsel across multiple jurisdictions
- Supporting clients on ongoing disclosure obligations and corporate governance matters
- Contributing to business development initiatives and client relationship management
Key Requirements:
- 3–5 years post-qualification experience (PQE) – essential
- Capital markets experience gained at an elite US law firm or within the US capital markets practice of a Magic Circle firm – essential
- Strong ECM experience, including both Rule 144A / Regulation S and SEC-registered transactions
Desirable Skills & Experience:
- Arabic language skills
- Prior Middle East experience (preferred)
- Exposure to debt capital markets (DCM) transactions (advantageous)
